Milestone Obligor definition

Milestone Obligor means (a) Purchaser or any of its subsidiaries or Affiliates, or (b) any (sub)licensee, assignee, or any other Person who has acquired, through license or otherwise, applicable Product IP from any of the Persons set forth in clause (a) and assumed responsibility or been delegated responsibility or granted rights under the Product IP for the Development or Commercialization of any Product, but excluding any contract manufacturer of a Product or other contractor, or other service provider that is providing services ancillary to Development or Commercialization of Products on behalf of Purchaser or any of its subsidiaries or Affiliates.

Milestone Obligor means any Person (including any Sublicensee) that acquires, directly or indirectly, from Parent or an Affiliate of Parent (or from another Milestone Obligor) any rights to develop, seek Marketing Approval for and/or commercialize a Company Product, through one or more transactions or series of transactions, whether by sale, assignment, license or any other direct grant or transfer of rights, but excluding, for the avoidance of doubt, acquisitions resulting from sales of units of any Company Product in the ordinary course of business.

Milestone Obligor means any successor, partner, joint venture partner, licensee or assignee or any other person that has been delegated responsibility for achieving any Milestone Trigger or making any Milestone Payment.

• If Parent wishes to transfer any Milestone Rights to a Milestone Obligor in a manner that does not comply with all of the terms of Section 1.13(h)(i)(1), Parent shall remain responsible for the performance of all obligations set forth in this Section 1.13, including any obligation assigned to and assumed by such Milestone Obligor, unless otherwise expressly agreed in writing by the Equityholders’ Representative on behalf of the Equityholders.

• The Milestone Notice shall include Purchaser’s calculation of the amount of Annual Net Sales for the applicable measurement period and the corresponding Milestone Payment, including the gross amount invoiced for Products by Purchaser, its Affiliates or any other Milestone Obligor, and their respective or joint (sub)licensees, and the deductions from such gross amount taken in accordance with the definition of Net Sales.

• In the event Seller sends a representative to the installed Product location, and Seller determines the issue with the Product is not covered under warranty, Xxxxx will be responsible for reimbursing Seller for travel expenses incurred and service repair costs at Seller’s then current rates.

• Parent shall, and shall cause each other Milestone Obligor to, assist the Stockholder Representative and its Representatives in conducting such review, without charge, and make such documents available for inspection.

• Purchaser shall keep, and will cause each Milestone Obligor to keep, complete, true and accurate books and records in sufficient detail for Seller to determine Annual Net Sales.

Milestone Obligor means each of (i) TriSalus or any of its subsidiaries or Affiliates, or (ii) any joint venture partner, collaborator, licensee, co-promoter, assignee or any other Person who has acquired applicable Product IP from any of the Persons set forth in clause (i) and assumed responsibility or been delegated responsibility or granted rights for the Development or Commercialization of SD-101 or any other Products, but excluding any contract manufacturer of a Product or contractor, or other service provider that is providing services ancillary to (but not constituting) Development or Commercialization of Products on behalf of TriSalus or any of its subsidiaries or Affiliates.

Milestone Obligor means Buyer, its Affiliates (including the Surviving Corporation) or any licensee or sublicensee thereof.

Milestone Obligor has the meaning set forth in Section 9.1(b)(iii)(B).

Milestone Obligor means each of (A) Parent, the Surviving Company and any of their respective Affiliates, (B) any partner, joint venture partner, collaborator, licensee, co-promoter, distributor, assignee or any other Person who acquired applicable Intellectual Property, know-how or confidential information from any of the Persons set forth in the preceding clause (A) for the development or commercialization of the Niclosamide Product, and (C) any other Person that has been delegated responsibility or right by Parent for achieving the Approval Milestone or that otherwise develops, commercializes or sells the Niclosamide Product.

Milestone Obligor means any Person that is a non-Affiliate third party with respect to Parent who acquires from Parent or an Affiliate of Parent (or from another Milestone Obligor) rights to develop, seek Regulatory Approval for, manufacture and/or commercialize a Company Product, through one or more transactions or series of transactions, whether by sale, assignment, license or any other direct grant or transfer of right, but excluding, for the avoidance of doubt, (a) acquisitions resulting from sales of units of any Company Product in the ordinary course of business or (b) as a result of an HPV Divestment Transaction which is a sale or grant of an exclusive license with respect to the HPV Program if Parent pays and distributes the HPV Divestment Consideration pursuant to Section 2.7(a) or 2.7(b).

Milestone Obligor means each of Ono, any of its Affiliates and any Ono Licensee.
