Hedging Letter definition

Hedging Letter means the letter dated on or before the date of this Agreement and made between the Facility Agent and the Borrowers describing the hedging arrangements to be entered into in respect of the interest rate liabilities of the Borrowers under this Agreement.
Hedging Letter means the letter dated on or about the date of this Agreement from the Agent to the Parent setting out the agreed hedging policy in respect of the Term Facilities (other than the Incremental Term Facility).
Hedging Letter means a letter dated on or about the date of the Credit Agreement between KDG, the Mandated Lead Arranger and the Facility Agent relating to the interest and currency hedging to be effected by the Group and any other letter designated as such by KDG and the Facility Agent which amends or supplements the terms of that letter.

  • The Company shall ensure that all interest rate and currency hedging arrangements required by the Hedging Letter are implemented in accordance with the terms of the Hedging Letter and that (subject to the application of any grace period set out in paragraph (c)(ii)(B) of Clause 26.1 (Restrictions on enforcement by Hedge Counterparties)) such arrangements are not terminated, varied or cancelled without the consent of the Agent (acting on the instructions of the Majority Lenders).

(the “Registered Hedging Letter”) and agree to take all actions, and to omit to take any actions, reasonably requested by the other party for each Transaction to comply with the Registered Hedging Letter.

  • However, the hedging documentation agreed under the Hedging Letter may not be concluded, and in particular, all relevant Eligible Hedging Provider(s) may not be found and may not accept to enter into that hedging documentation as agreed under the Hedging Letter.


More Definitions of Hedging Letter

Hedging Letter means a letter entered into within three months after the first Utilisation (as amended from time to time with the approval of all the Lenders), between the Arranger and the Company, setting out the interest rate and/or currency hedging strategy agreed in relation to the Facilities in connection with Clause 23.19 (Hedging).
