HEP Parties as used herein shall include the successors and assigns of HEP Operating and Grantor under the Service Agreement, but shall not mean or include Administrative Agent. The term “Property” as used herein shall mean the Property, the improvements now or hereafter located thereon and the estates therein encumbered by the Senior Mortgages. The term “Xxxxx” as used herein shall include the successors and assigns of Xxxxx hereunder and under the Service Agreement including, without limitation, any Xxxxx Successor.

Examples of HEP Parties in a sentence

  • Each Purchaser agrees that it will indemnify and hold harmless the HEP Parties from and against any and all claims, demands, or liabilities for broker’s, finder’s, placement, or other similar fees or commissions incurred by such Purchaser or alleged to have been incurred by such Purchaser in connection with the purchase of the Purchased Units or the consummation of the transactions contemplated by this Agreement.

  • At each Representation Date and each Settlement Date, all limited partner and limited liability company action, as the case may be, required to be taken by any of the HEP Parties or any of their members or partners for the authorization, offering, sale and delivery of the Common Units and the consummation of the transactions contemplated by the Equity Distribution Agreement shall have been validly taken.

  • A rejection, by or on behalf of the HEP Parties, of the Service Agreement in bankruptcy.

  • Grantor has assigned to Administrative Agent its rights hereunder, and the HEP Parties have assigned to Administrative Agent their rights under the Service Agreement by way of a collateral assignment.

  • The cost and expense of performing or complying with any and all of the Obligations shall be borne solely by the HEP Parties to the extent provided in the Service Agreement.

  • Bank Parties means Administrative Agent and the Banks.

  • Applicable Parties has the meaning assigned to it in Section 8.03(c).

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Settling Parties means the Defendants and the Class Representatives, on behalf of themselves, the Plan, and each of the Class Members.

  • Backstop Parties means those parties that agree to backstop the Rights Offering pursuant to the Backstop Commitment Letter, each in its respective capacity as such.

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Contributors has the meaning set forth in the Preamble.

  • Party/Parties means Buyer and Seller individually/collectively.
