Assessment of the fairness and reasonableness of the consideration The consideration of RMB1,250.4 million was arrived at after arm’s length negotiation between Heze Neng Hua and Yankuang Group after taking into account of the appraised value of the Wanfu Mining Right of RMB1,250.4 million as evaluated by an independent and qualified valuer.
