Examples of HLD Group in a sentence

  • On 1 December 2014, the Company and Broad Capital Limited, a member of the HLD Group, entered into a master agreement (the “Cleaning Services Agreement”) for a term from 1 December 2014 to 30 November 2017 (inclusive) in relation to the provision of cleaning services to any subsidiary of the Group for fees to be settled on monthly basis.

  • On 1 December 2014, the Company and HLD entered into a master agreement (the “Gift Certificate Sales Agreement”) for a term from 1 December 2014 to 30 November 2017 (inclusive), pursuant to which HLD Group and its associates may purchase Gift Certificates from any member of the Group, at prices as from time to time quoted or offered for public purchase of the Gift Certificates.

  • The DMC Managers currently appointed under certain Deeds of Mutual Covenant are members of the HLD Group (such DMC Managers referred to as the “Connected DMC Managers”) and they were so appointed prior to the relevant properties being acquired by the Sunlight REIT Group.

  • The HLD Group is principally engaged in the business of property development and investment, construction, project management, property management, finance, department store operation and investment holding.

  • Framework AgreementWith a view to ensuring that all tenancy and licensing transactions between relevant members of the HLD Group and Citistore HK comply with Chapter 14A of the Listing Rules, the Company entered into the Framework Agreement with HLD on 15 October 2014, which took effect from the Completion Date and is for a term commencing from the Completion Date to 30 September 2023 (both days inclusive).

  • Pursuant to the Framework Agreement, it was agreed, among other things, that members of the Group may lease and/or license various premises from members of the HLD Group, as they may mutually agree from time to time.

  • Certain continuing transactions between Citistore HK and the HLD Group and associates of HLD, including the provision of cleaning services to Citistore HK by a subsidiary of HLD and the purchase of gift certificates of department stores or shops which may be redeemed for purchases (“Gift Certificates”) from Citistore HK by members of the HLD Group and its associates, became continuing connected transactions of the Company upon the Completion Date.

  • Subject matter : The HLD Group may from time to time purchase, from any member of the Group, the Gift Certificates at costs not less than those offered by such relevant members of the Group to other independent third parties.

  • Retained Group means, in respect of each Seller, that Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (excluding the Purchaser, that Seller’s Target Company and any subsidiaries or subsidiary undertakings of that Target Company);

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Minority Group means any of the following racial or ethnic groups:

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Peer Group Companies means the following companies: .

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Group Companies means the Company and its Subsidiaries.

  • Company Group Member means each member of the Company Group.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Partnership Group Member means any member of the Partnership Group.

  • Target Group means the Target and its Subsidiaries.
