Holding Party definition

Holding Party has the meaning set forth in Section 2.12(a).
Holding Party has the meaning given to it in Clause 2.7.
Holding Party means a hypothetical broker/dealer which is deemed to be (as determined by the Calculation Agent in the context of the relevant situation) domiciled and subject to taxation, securities law and regulations in Germany and/or any jurisdiction where Deutsche Bank, AG and/or any of its Affiliates would, in the determination of the Calculation Agent, be able to hold the Holding and which is deemed to notionally hold the Holding throughout the life of the Securities.

Examples of Holding Party in a sentence

  • Under no circumstances may a present or former Holding Party "trade on" such information or otherwise use it, directly or indirectly, for personal gain or for the benefit of any party other than the owner of such information.

  • To the extent the request does not concern Materials, the Holding Party shall not be required to deliver such requested materials to the Requesting Party, but shall provide the Requesting Party with an explanation in reasonable detail the basis of such determination and shall make itself and its relevant Affiliates available to discuss such determination in good faith with the Requesting Party.

  • A failure by the Lodging Party to lodge the additional security with the Holding Party within 5 Business Days of the Holding Party's request constitutes a Financial Default.

  • If at any time the Holding Party draws upon the Security pursuant to its rights under this Agreement, then the Lodging Party must within 10 Business Days of the Lodging Party being notified that the Security has been drawn upon, re-instate the amount of the Security to its full amount.

  • A failure by the Lodging Party to lodge the Security with the Holding Party within the time period specified in the Confirmation constitutes a Financial Default.
