Holdings Entities definition

Holdings Entities means, collectively, Holdings and Intermediate Holdings. “Holdings Entity” means any one of such Persons.

Holdings Entities means Holdings and its Affiliates (other than the Company and the Partnership Group).

Holdings Entities has the meaning given to such term in the recitals hereto.

Examples of Holdings Entities in a sentence

• Failure by the Company to comply with any of the obligations set forth above shall not affect the status of the Company as a separate legal entity, with its separate assets and separate liabilities, or restrict or limit the Company from engaging or contracting with the Holdings Entities for the provision of services or the purchase or sale of products.

• Each of the Loan Parties has good title to the Collateral, free and clear of all Liens except in the case of the Holdings Entities, Permitted Liens, and in the case of the Company and its Restricted Subsidiaries, those permitted by Section 7.16.

• Each material contract between the Company or a Group Member, on the one hand, and any of the Holdings Entities or their respective members, shareholders or partners, as applicable, on the other hand, shall be in writing.

• Each of the Parties hereto specifically intends that each entity comprising the Crestwood Holdings Entities and the Partnership Entities, as applicable, whether or not a Party to this Agreement, shall be entitled to assert rights and remedies hereunder as third-party beneficiaries hereto with respect to those provisions of this Agreement affording a right, benefit or privilege to any such entity.

• Each Crestwood Holdings Entity further agrees and acknowledges that any Partnership Group Member may, in addition to the other remedies which may be available to the Partnership Group, file a suit in equity to enjoin any of the Crestwood Holdings Entities from such breach, and consents to the issuance of injunctive relief under this Agreement.

More Definitions of Holdings Entities

Holdings Entities has the meaning specified in the recital of parties to this Credit Agreement.

Holdings Entities means each of (a) Atotech Limited, a company organized under the Bailiwick of Jersey, so long as Holdings is a Wholly Owned Subsidiary of Atotech Limited, (b) Atotech UK TopCo Limited, a private company limited by shares organized under the laws of England and Wales, so long as Holdings is a Wholly Owned Subsidiary of Atotech UK TopCo Limited and (c) Holdings, so long as the Parent Borrower is a direct Wholly Owned Subsidiary of Holdings.

Holdings Entities means Holdings and Holdings GP.

Holdings Entities means, collectively, Holdings and Intermediate Holdings. “Holdings Entity” means any one of such Persons. “Holdings Guaranty” means the guaranty of Holdings set forth in Article VIII.

Holdings Entities means Holdings and Subsidiaries of Holdings (other than Subsidiaries that constitute Nabisco Entities) and "Holdings Entity" shall mean any of the Holdings Entities.

Holdings Entities shall have the meaning given to such term in the introductory paragraph to this Agreement.
