Horizon Entities definition

Horizon Entities means the members of the Horizon Group.
Horizon Entities has the meaning specified in the Preamble.
Horizon Entities means Horizon Lines, Inc., Horizon Lines, LLC, Horizon Logistics Holdings, LLC, Horizon Logistics, LLC and Horizon Lines of Puerto Rico, Inc.

  • Prior to the Distribution, each of the Parties will execute and deliver all Ancillary Agreements to which it is intended to be a party, and will cause the other TriMas Entities and Horizon Entities, as applicable, to execute and deliver any Ancillary Agreements to which such Persons are intended to be parties.

  • The EMT that is being skills tested shall provide their complete name as shown on their California EMT certification, the EMT certificate number and signature in the spaces provided.

  • The HEA Group agrees to provide the Horizon Entities with reasonable access to the records transferred hereunder to the HEA Group upon reasonable notice and during normal business hours to examine and photocopy patient records and records relating to the operation of the business.

  • JS Horizon shall, and shall cause any other applicable Horizon Entities to, reasonably cooperate with respect to any such Action at Hyzon’s request and expense, including by joining any such Action as a party to the extent reasonably requested by Hyzon and reasonably necessary to bring or maintain such Action.


More Definitions of Horizon Entities

Horizon Entities means JS Horizon and its current and future Affiliates, but excluding any Hyzon Entities; provided that an Affiliate of JS Horizon shall only be considered a Horizon Entity for so long as such Person remains an Affiliate of JS Horizon; and provided further that, if Jiangsu Horizon and Shanghai Horizon become, at any time after the Effective Date, non-Affiliates, and one or both continue to own any right, title or interest in and to any Background IP, then “Horizon Entities” includes each such Party that continues to own any right, title or interest in and to any Background IP and any of such Party’s then-current and future Affiliates.

Related to Horizon Entities

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Target Companies means the Target and its Subsidiaries.

  • Partnership Group Member means any member of the Partnership Group.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • CCR means the California Code of Regulations.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Group Companies means the Company and its Subsidiaries.
