Identified Employees definition

Identified Employees has the meaning set forth in Section 5.3(a).

Identified Employees means the employees of the Company listed in Schedule A-1.

Examples of Identified Employees in a sentence

• Buyer shall offer employment, effective as of the Closing Date, to the Identified Employees on such terms as Buyer shall determine in its sole discretion.

• Purchaser agrees that, for purposes of all employee benefit plans, policies and employee fringe benefit programs, including vacation policies, of Purchaser which may apply to Identified Employees or in which the Identified Employees may participate following the Closing, credit will be given to the Identified Employees for service previously credited with Seller prior to the Closing.

• The Seller shall use reasonable best efforts to cooperate with Buyer to facilitate the hiring of the Identified Employees.

• Purchaser is responsible for all obligations and liabilities arising out of Purchaser's offers to or employment of the Identified Employees.

• At the request of Purchaser, Seller has communicated Purchaser's offer of employment to certain employees of Seller and SCHEDULE 7.1 lists those employees of Seller that the parties believe have indicated an intent to accept Purchaser's offer of employment (such employees are referred to herein as the "Identified Employees").

"Intellectual Property" means any and all intellectual property rights of Sellerarising from or in respect of the following: (a) all patents and applications therefor, includingcontinuations, divisionals, continuations-in-part, or reissues of patent applications and patents issuing thereon (collectively, "Patents"); (b) copyrights and registrations and applications therefor, rights in works of authorship, and mask work rights related to the Software or Technology included in the Purchased Assets, excluding copyrights and registrations (if any) relating to Brand Materials and applications therefor (collectively, "Copyrights"); (c) inventions, discoveries, trade secrets, business and technical information and know-how, and other confidential and proprietary information and all rights therein related to the Software or Technology included in the Purchased Assets, to the extent legally and contractually transferable and assignable, and excluding the Seller’s customer lists, customer data and information, data collections and databases or any personally identifiable information; and (f) all rights, interests and protections that are associated with, similar to, or required for the exercise of, any of the foregoing, to the extent legally and contractually transferable and assignable.

Identified Employees has the meaning set forth in Section 10.1.

Identified Employees means the individuals listed on Schedule 11(d) and any additional individual hired by one of the Advisor Parties to replace any departing individual listed on Schedule 11(d).
