Improper Segment definition

Improper Segment means any speculative, duplicative or fictitious segment or any other segment reasonably deemed by Galileo to be an improper use of the Services, including, but not limited to, making bookings on any GDS other than a Travelport GDS or on any airline or other reservation system, except as expressly permitted under this Agreement. Segments booked for testing purposes with Galileo’s prior written consent do not count as Improper Segments, unless otherwise stipulated mutually by Galileo and Subscriber; provided, however, that Subscriber may continue to test segments on the Systems substantially as Subscriber conducts such tests as of the Contract Effective Date.

  • Grid System means STU / MSEDCL power transmission system / distribution system through which Delivered Energy is evacuated and distributed.

  • Customer System means the Customer's computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Customer or the Supplier in connection with this Contract which is owned by or licensed to the Customer by a third party and which interfaces with the Supplier System or which is necessary for the Customer to receive the Services;

  • Usage Metric means the standard of measurement for determining the permitted use and calculating the fees due for a Cloud Service as set forth in an Order Form.

No Network Upgrade, Local Upgrade or Merchant Network Upgrade or other transmission expansion or enhancement shall be a Customer-Funded Upgrade if and to the extent that the costs thereof are included in the rate base of a public utility on which a regulated return is earned.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • PV System means a residentially hosted roof-top solar electric generating system, including photovoltaic panels, racks, wiring and other electrical devices, conduits, weatherproof housings, hardware, one or more inverters, remote monitoring systems, connectors, meters, disconnects and over current devices.

  • Combined cycle system means a system comprised of one or more combustion turbines, heat recovery steam generators, and steam turbines configured to improve overall efficiency of electricity generation or steam production.

  • Business Unit means the assets constituting the business or a division or operating unit thereof of any Person.

  • Internally Generated Cash means, with respect to any period, any cash of Borrower and its Subsidiaries generated during such period, excluding Net Asset Sale Proceeds, Net Insurance/Condemnation Proceeds and any cash that is received from an incurrence of Indebtedness, an issuance of Equity Interests or a capital contribution.

  • Improper Conduct means conduct which offers any obstruction to the deliberations of proper action of Council.
