Incoterms DAP means ‘Delivered At Place’ as defined in the English language version of the International Chamber of Commerce Incoterms 2010. The Product(s) shall be deemed delivered when they are placed at the disposal of the Customer on the arriving means of transport ready for unloading at the agreed destination, at which point risk in the relevant Product(s) shall transfer from Axians to the Customer; “Input Material” the Documentation, data and any other materials and information provided by one Party to the other for the purpose of performing its obligations under the Agreement (including under a Statement of Work and/or an Accepted Purchase Order); “Insolvency Event” a proposal for a voluntary arrangement within Part I of the Insolvency Act 1986 or a proposal for any other composition, scheme or arrangement with (or assignment for the benefit of) its creditors generally or if the other Party shall be unable to pay its debts as they fall due within the meaning of Section 123 of the Insolvency Act 1986 or if a trustee, liquidator, receiver, administrator, administrative receiver or similar officer is appointed in respect of all or any part of the business or assets of the other Party or if a petition is presented (unless it is vexatious or frivolous) or a meeting is convened for the purpose of considering a resolution or other steps are taken for the winding up of the other Party or for the making of an administration order (otherwise than for the purpose of an amalgamation or reconstruction) or if anything analogous to any such event occurs to the other Party in any legal jurisdiction;
