Independent Environmental Consultant means FBA Consulting or such other Person(s), so long as no Default has occurred and is continuing, reasonably acceptable to the Borrower, as the Administrative Agent may engage on behalf of the Lenders to act as Independent Environmental Consultant for the purposes of this Agreement.

  • Project completion is defined as the date falling thirty days after the date on which the Company has delivered to the Facility Agent the last of the Completion Certificates required to be delivered, provided that each has been certified by the Independent Technical Consultant, the Independent Environmental Consultant, the Independent Diamond Consultant and/or the Technical Agent, and accepted by the Technical Agent (acting on the instructions of the Majority Lenders).

Independent Environmental Consultant means an independent environmental consultant or firm of environmental consultants experienced in matters similar to those to be referred for determination, acting as an expert not an arbitrator, such consultant to be (i) agreed on by the Purchaser and the Sellers (or failing agreement, and on reference by either party, as appointed by the President of the Royal Institute of Chartered Surveyors) and (ii) appointed jointly by the Purchaser and the Sellers on terms satisfactory to each of them (acting reasonably);

Related to Independent Environmental Consultant

  • Environmental Consultant has the meaning set forth in Section 5.17(a).

  • Phase I Environmental Report means a report by an Independent Person who regularly conducts environmental site assessments in accordance with then current standards imposed by institutional commercial mortgage lenders and who has a reasonable amount of experience conducting such assessments.

  • Initial Environmental Examination or “IEE” means an initial environmental examination for a Subproject, including any update thereto, prepared and submitted by the Borrower pursuant to the requirements set forth in the EARF and cleared by ADB;

  • Construction Consultant means a third-party architect or engineer selected and retained by Funding Lender, at the cost and expense of Borrower, to monitor the progress of construction and/or rehabilitation of the Project and to inspect the Improvements to confirm compliance with this Borrower Loan Agreement.

  • Environmental Conditions means any conditions of the environment, including, without limitation, the work place, the ocean, natural resources (including flora or fauna), soil, surface water, ground water, any actual or potential drinking water supply sources, substrata or the ambient air, relating to or arising out of, or caused by the use, handling, storage, treatment, recycling, generation, transportation, Release or threatened Release or other management or mismanagement of Regulated Substances resulting from the use of, or operations on, the Property.

  • Serious Medical Condition means, for the purpose of interpreting Overseas Emergency Medical Evacuation and Repatriation cover, a condition which in the opinion of the Company or its authorised representatives constitutes a serious or life threatening medical emergency requiring immediate evacuation to obtain urgent remedial treatment in order to avoid death or serious impairment to an Insured Person’s immediate or long-term health prospects. The seriousness of the medical condition will be judged within the context of the Insured Person’s geographical location and the local availability of appropriate medical care or facilities.
