Independent Valuation Expert definition

Independent Valuation Expert means a Person who is appointed by JHINV in accordance with clause 7.1(b).

Independent Valuation Expert means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated or another nationally recognized investment banking firm of similar quality.

Independent Valuation Expert has the meaning set forth in Section 9.5(d).

• The fees and expenses of the applicable Independent Valuation Expert will be borne by the Party that such expert decides against in its determination of the more reasonable Statutory Book Value of the Disputed Assets.

• As promptly as practicable, but in no event later than ten (10) Business Days after its engagement, the Independent Valuation Expert shall deliver to the Parties a written notification, which shall set forth its decision regarding the Forecasted Distributed Cash Calculation.

Independent Valuation Expert means (a) Merrill Lynch, Pierce, Fenner & Smith Incorporated or (b) another nationally recognized investment banking firm of similar quality approved by each Party (which approval shall not be unreasonably withheld, delayed or conditioned).
