Indirect Payroll Costs definition

Indirect Payroll Costs means, with respect to any Leased Employee or Former Leased Employee, all costs (other than Direct Payroll Costs) associated with such employee’s compensation and benefits in accordance with the methodology set forth in Exhibit A.
Indirect Payroll Costs means with respect to any Seconded Employee, all reasonable costs, other than Direct Payroll Costs but including reasonable costs incurred or accrued under Section 2.02 hereof, associated with the compensation of or benefits provided to such Seconded Employee, including allocable general administrative and overhead costs arising in connection with the employment and compensation of such Seconded Employee, as reasonably determined by GXS using its usual methods of cost accounting.
Indirect Payroll Costs shall have the meaning set forth in Section 5.1(b) hereof.

More Definitions of Indirect Payroll Costs

Indirect Payroll Costs means the "Owner's Allocable Share" of the wages or salaries (including taxes and employee benefits) paid by Manager or its Affiliates to personnel for services which are not allocated by Manager or its Affiliates to any specific projects or properties as set forth in subparagraph (a) above (excluding therefrom expenses of the computer information service group and expenses of other support groups, if and to the extent such expenses are included as general overhead expenses pursuant to subparagraph (c) below). Indirect Payroll Costs. (as defined in Section 5.1(b) hereof), plus the "Owner's Share" (as defined in Section 5.1(c) hereof) of the general overhead expenses of Manager and its Affiliates. Manager shall only be entitled to compensation as and to the extent set forth in this Section 5.1 and Section 5.2 hereof. Without limitation on the generality of the foregoing, neither Manager nor any Affiliate of Manager shall be entitled to any leasing commissions in connection with the Shopping Center, but Manager shall be entitled to recover the Management Expenses relating to the leasing of space in the Shopping Center. Manager shall not enter into a general brokerage or leasing agreement with respect to the leasing of the Shopping Center. Related to Indirect Payroll Costs

  • Indirect Costs has the same meaning as in 44 Ill. Admin. Code 7000.

  • Indirect Taxes means value added taxes, sales taxes, consumption taxes and other similar taxes.

  • Indirect Tax means any goods and services tax, consumption tax, value added tax or any tax of a similar nature.

  • Indirect Losses means loss of profits, loss of production, loss of business, loss of business opportunity, or any claim for consequential loss or for indirect loss of any nature;

  • Travel costs ’ means expenses for transportation, lodging, subsistence (meals and incidentals), and related expenses incurred by employees who are on travel status on official business of the recipient for any travel outside the country in which the organization is located. “Travel costs” do not include expenses incurred by employees who are not on official business of the recipient, such as rest and recuperation (R&R) travel offered as part of an employee’s benefits package that are consistent with the recipient’s personnel and travel policies and procedures.

  • Indirect services means special education services provided by a special education teacher which include ongoing progress reviews; cooperative planning; consultation; demonstration teaching; modification and adaptation of the environment, curriculum, materials, or equipment; and direct contact with children with disabilities to monitor and observe.

  • Personnel Costs means the costs of researchers, technicians and other supporting staff to the extent employed on the relevant project or activity;

  • Direct Costs means the sum of the following:

  • Expenses shall include all direct and indirect costs, fees and expenses of any type or nature whatsoever, including, without limitation, all reasonable attorneys’ fees and costs, retainers, court costs, transcript costs, fees of experts, witness fees, travel expenses, fees of private investigators and professional advisors, duplicating costs, printing and binding costs, telephone charges, postage, delivery service fees, fax transmission charges, secretarial services and all other disbursements, obligations or expenses in connection with prosecuting, defending, preparing to prosecute or defend, investigating, being or preparing to be a witness in, settlement or appeal of, or otherwise participating in, a Proceeding (as defined below), including reasonable compensation for time spent by Indemnitee for which he or she is not otherwise compensated by the Company or any third party. Expenses also shall include Expenses incurred in connection with any appeal resulting from any Proceeding (as defined below), including without limitation the principal, premium, security for, and other costs relating to any cost bond, supersedeas bond, or other appeal bond or its equivalent. Expenses, however, shall not include amounts paid in settlement by Indemnitee or the amount of judgments or fines against Indemnitee.

  • Indirect Participants Has the meaning specified in Section 4.01(b) of this Trust Supplement.

  • Program Costs means all necessary and incidental costs of providing program services.

  • Indirect Depository Participant An institution that is not a Depository Participant but clears through or maintains a custodial relationship with Participants and has access to the Depository's clearing system.

  • Direct Losses means all damages, losses, liabilities, penalties, fines, assessments, claims, actions, costs, expenses (including the cost of legal or professional services, legal costs being on a substantial indemnity basis), proceedings, demands and charges whether arising under statute, contract or at common law, except Indirect Losses.

  • Indirect Owner means, in the case of a Protected Partner that is an entity that is classified as a partnership, disregarded entity or subchapter S corporation for federal income tax purposes, any person owning an equity interest in such Protected Partner, and in the case of any Indirect Owner that itself is an entity that is classified as a partnership, disregarded entity or subchapter S corporation for federal income tax purposes, any person owning an equity interest in such entity.

  • Indirect supervision means the supervision of an unlicensed school staff member when the school nurse or other health care provider is not physically available on site but immediately available by telephone.

  • Transfer expenses means all expenses of a transfer that the transfer agreement requires the payee to pay or have deducted from the gross advance amount, including, but not limited to, court filing fees, attorney fees, escrow fees, lien recordation fees, judgment and lien search fees, finders' fees, commissions, and other payments to a broker or other intermediary.   • Adult entertainment means any exhibition of any adult-oriented: motion pictures, live performance, computer or CD Rom generated images, displays of adult-oriented images or performances derived or taken from the internet, displays or dance of any type, which has a substantial portion of such performance any actual or simulated performance of specified sexual activities or exhibition and viewing of specified anatomical areas, removal or partial removal of articles of clothing or appearing unclothed, pantomime, modeling, or any other personal service offered customers.

  • Loss of Activities of Daily Living means that, due to an Injury or Sickness, the Insured Employee has lost the ability to safely and completely perform two or more of the following six Activities of Daily Living without another person's active, hands-on help with all or most of the activity.

  • Transfer Costs means the cost of registration of Transfer arising herefrom calculated with reference to the fee chargeable in terms of the recommended guideline of conveyancing fees, and all incidental disbursements necessary to effect registration, together with VAT on such costs and disbursements, but specifically excluding any costs relating to mortgage bond registration;
