Ineligible Government Holder means any person who is the federal or a provincial government in Canada or agent or agency thereof, or the government of a foreign country or any political subdivision of a foreign country, or any agent or agency of a foreign government, in each case to the extent that the recording in the Bank’s securities register of a transfer or issue of any share of the Bank to such person would cause the Bank to contravene the Bank Act.

Notice shall be given by MFC in writing not more than 60 days and not less than 30 days prior to such conversion date. The holders may exercise their conversion right by delivering a conversion notice to MFC or as directed by MFC. If a holder of Series 25 Preferred Shares does not deliver such conversion notice, the holder shall be deemed not to have elected to convert their Series 25 Preferred Shares into New Preferred Shares.
