The Seller shall, at its own expense, on or prior to the Closing Date, indicate in its computer files that the Initial Receivables have been sold to the Purchaser pursuant to this Agreement and the First-Tier Initial Assignment and deliver to the Purchaser the Schedule of Initial Receivables certified by an officer of the Seller to be true, correct and complete.
