Initial Share Issuance means the transfer of SABMiller Shares to NewCo and the issuance of the Initial Shares to former SABMiller Shareholders as part of the UK Scheme;

  • Share Issuance means the issuance of Parent Common Stock pursuant to the Merger.

If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Private Placement Shares shall have the meaning given in the Recitals hereto.

  • Put Shares means shares of Common Stock that are purchased by the Investor pursuant to a Put.

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Unit Shares means the Common Shares comprising part of the Units;

  • Exchange Consideration shall have the meaning set forth in Section 11(b)(i).

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Subco Shares means the common shares in the capital of Subco;

  • Additional Shares of Common means all shares of Common Stock issued (or, pursuant to Section 6.2(a)(iv)(3) below, deemed to be issued) by the Corporation after the Original Issue Date, other than shares of Common Stock issued or issuable:

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • Common Shares means the common shares in the capital of the Company;

  • Initial Warrants means the warrants of the Company to purchase shares of Common Stock underlying the Initial Units issued and outstanding prior to the IPO.
