Initial Transactions definition

Initial Transactions means the Assignment and the Declaration of Trust.

Initial Transactions shall have the meaning set forth in Section 9.1.

Initial Transactions means (i) the execution and delivery of the Loan Documents and (ii) the Borrowing, if any, to take place on the Closing Date, and the use of the proceeds thereof.

Initial Transactions as defined in the recitals to this Agreement.

Initial Transactions collectively, (i) the Contributions, (ii) the Bridge Loans, (iii) the Initial Acquisitions, and (iv) each other transaction contemplated by the Initial Transaction Documents.

Initial Transactions means (a) the filing of Purchaser’s certificate of incorporation with the Secretary of State of the State of Delaware, (b) the appointment of the initial board of directors of Purchaser; (c) the issuance of the shares of Purchaser Common Stock as necessary to make the representations in the Purchaser Closing Certificate accurate in all respects as of the Closing; and (d) the taking of all other actions contemplated by Purchaser Closing Certificate necessary to make the representations in the Purchaser Closing Certificate accurate in all respects as of the Closing.

Initial Transactions means, where a Plan Circular is mailed on or before December 31, 2002, any disposition of shares of Equity Stock by any Person occurring on or before the date the plan of arrangement contemplated in the Plan Circular becomes effective.
