Interest Rate Certificate definition

Interest Rate Certificate means an Officers' Certificate substantially in the form of Exhibit C-1, delivered pursuant to Section 9.01(e), demonstrating in reasonable detail the calculation of the Total Leverage Ratio as of any Test Date.
Interest Rate Certificate means an officers' certificate substantially in the form of Exhibit K, delivered pursuant to subsection 7.1(b), demonstrating in reasonable detail the calculation of the Debt to EBITDA Ratio as of the last day of the subject period.
