Investment Director definition

Investment Director means a person appointed by Hughes under the Trust Agreement with authority as specified therein to direct the Trustee concerning the investment and reinvestment of the principal and income of the Trust Fund or a specified portion thereof.
Investment Director means HODL Management Limited. ‘Lead Series Shares’ means the Participating Shares designated as Lead Series Shares having been issued on the first Subscription Day or having been consolidated from Subsequent Series Share into the Lead Series. ‘Memorandum’ means the Memorandum of Association of the Company, as may be amended from time to time. ‘Minimum Subscription Amount’ means an amount at the Investment Director’s sole discretion subject to an investor complying with the definition of an Experienced Investor. ‘Minimum Trading Amount’ means €2,000,000. ‘NAV per Participating Share’ means the NAV attributable to a Series Account divided by the number of Lead Series Shares or Subsequent Series Shares, as the case may be, subject to such adjustments, if any, as in the opinion of the Directors may be required to ensure a fair value for each Participating Share. ‘Net Asset Value’ and/or ‘NAV’ means the value of all of the Fund’s assets less all of the Fund’s liabilities determined in accordance with the Articles on each Valuation Day. ‘Nominal Shares’ means the Nominal Shares of the Company with a par value of €0.01 each. ‘Offer’ means the offer of Participating Shares. ‘Offer Period’ means the period, commencing on the date of this PPM and ending at such time when the Director may at the sole and absolute discretion determine, when Participating Shares will be available for issue on Subscription Days.
