The Program Agent hereby agrees to provide each Investor Agent with copies of all material notices, reports and other documents provided to the Program Agent by the Seller or the Collection Agent hereunder (other than any notices received by the Program Agent referred to in any of the definitions of Assignee Rate, Investor Rate or Fixed Period) which are not otherwise required to be provided by the Seller or the Collection Agent directly to the Investor Agents in accordance with the terms hereof.
EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, EPOCH MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, NONINFRINGEMENT OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
F = if the Investor Rate for such Fixed Period shall be the MTN Fixed Rate, the MTN Fixed Rate for such Eligible Asset for such Fixed Period; and if the Investor Rate for such Fixed Period shall be the MTN Floating Rate, the MTN Floating Rate for such Eligible Asset in effect on such Fee Determination Date for such Eligible Asset.
The Agent shall promptly thereafter notify the Seller whether the Investor has determined to make such Purchase and whether the conditions for the requested Investor Rate set forth in Section 2.04 have been satisfied.
Any Eligible Asset outstanding on the Restatement Effective Date shall continue to be calculated at the "Investor Rate" and for the selected "Interest Period" under the Original Agreement until the earlier of the expiration of the "Interest Period" or August 21, 1997 (each as defined under the Original Agreement).
