IP Collateral Assignments means (a) that certain Patent Security Agreement and that certain Trademark Security Agreement, each of even date herewith by and between the Company and Xxxxx Partners III, L.P, as agent for the Lenders, and (b) that certain Trademark Security Agreement of even date herewith by and between Axiom Pharmaceutical Corporation and Xxxxx Partners III, L.P, as agent for the Lenders, as such agreements may be supplemented, amended or otherwise modified from time to time in accordance with their terms.
