Issuer Disclosure Schedule definition

Issuer Disclosure Schedule means the disclosure schedule dated the date hereof, delivered by Issuer to Buyer in connection with, and forming part of, this Agreement.
Issuer Disclosure Schedule means the disclosure schedule of even date herewith delivered by Issuer to the Buyer in connection with the execution and delivery of this Agreement.
Issuer Disclosure Schedule means the Issuer Disclosure Schedule that has been delivered by Issuer to Parent, Freedom VCM, Newco BHF and the Company concurrently with the execution of this Agreement.

  • Continuing Disclosure Undertaking means the Continuing Disclosure Undertaking of the Issuer, in substantially the form attached hereto as Exhibit 1, dated the Closing Date, for the purpose of providing continuing disclosure information under Rule 15c2-12 adopted by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as may be amended from time to time.
