Joint Improvement definition

Joint Improvement shall have the meaning set forth in Section 3.05.
Joint Improvement under this Section 3.3(c), if falling outside the AATI Field; or
Joint Improvement under this Section 3.3(c), if falling outside the MAGNACHIP Field; or

  • Each Party agrees to be named as a party, if necessary, to bring or maintain a lawsuit involving a Joint Improvement or Joint Collaboration IP.

  • Notwithstanding that one party may be delegated responsibility for filing, prosecuting and maintaining patent applications with respect to a particular Joint Improvement, the other party must approve in writing the taking of any material action with respect thereto including without limitation approving any patent application prior to filing.

  • If a Party (the “Relinquishing Party”) declines to pay its share of patent-related expenses for any patent application or patent directed to a Joint Improvement or a Non-Severable Joint Improvement, the other Party may assume payment of the Relinquishing Party’s share of the patent-related expenses, and the Relinquishing Party will assign title to such patent application or patent to Party assuming payment.

  • Each of Indivior and Addex shall promptly disclose to the other all inventions that it considers to be a Joint Improvement.

  • S&N shall have the primary right, but not the obligation, to assume, with respect to each Joint Improvement, the responsibility for filing, prosecuting and maintaining patent applications with respect to such Joint Improvements.


More Definitions of Joint Improvement

Joint Improvement means any Program Technology that is (a) jointly conceived, developed or reduced to practice by one or more employees of, or consultants to, ILDONG and/or its Affiliates, Sublicensees, Distributors and one or more employees of, or consultants to, SUBLICENSOR or (b) conceived , developed, or reduced to practice solely by one or more employees of, or consultants to ILDONG resulting from the use by ILDONG in any material respect of the Licensed Technology, Licensed Patent Rights, Background Patent Right or SUBLICENSOR Materials.
Joint Improvement means an Improvement with respect to which employees and/or agents of both Arcus and Abmuno are joint inventors in the course of the activities hereunder, regardless of whether any Third Parties are also joint inventors, including, without limitation, all Intellectual Property Rights therein. Inventorship for Joint Improvements shall be determined in accordance with the patent laws of the Xxxxxx Xxxxxx (Xxxxx 00, Xxxxxx Xxxxxx Code).
Joint Improvement means any and all Improvements created or conceived jointly by (a) Monsanto or any one or more of its Affiliates, agents, employees, subcontractors, Third Parties acting on their behalf or sublicensees and (b) Landec or any one or more of its Affiliates, agents, employees, subcontractors, Third Parties acting on their behalf or licensees, provided that either Party or both Parties may assist with or be involved in reduction to practice, during the performance of the Work Plan during the Term.
Joint Improvement means [***]: (a) (i) any Intellectual Property that is invented by or on behalf of either Party (solely or jointly with the other) under this Agreement during the IP Term that constitutes or comprises a composition of, or any method of using or making, a combination of Intellia Materials and Regeneron Materials, including an improvement, enhancement or other modification to the combination of Intellia Materials and Regeneron Materials (i.e., such Intellectual Property necessarily involves both Intellia Materials and Regeneron Materials), and (ii) any Patent Rights to the extent within the Intellectual Property in the foregoing clause (i); and (b) (i) any improvement, enhancement or modification to any CRISPR-Cas, including any composition of, or any method of using or making, CRISPR-Cas Materials, and (ii) any Intellectual Property in and to the foregoing clause (i), in each of (i) and (ii) that is invented (x) by or on behalf of Intellia alone [***], or (y) by or on behalf of Regeneron alone or jointly by or on behalf of the Parties under this Agreement, in each of (x) and (y) during the IP Term (“Joint CRISPR-Cas Improvements”).
Joint Improvement means an Improvement under the Xxxxxx Co-Owned Patents, Xxxxxx Only Patents, Know-How, Research Project or Commercial Manufacture that is: (1) jointly conceived or jointly reduced to practice by an employee or agent of Arcadia and an employee or agent of Xxxxxx, or (2) conceived of by an employee or agent of either Arcadia or Xxxxxx and reduced to practice by an employee or agent of the other Party, or was conceived by an employee or agent or contractor of Xxxxxx in the course of research funded by Arcadia, or was conceived by an employee or agent or contractor of Arcadia in the course of research funded by Xxxxxx, during this Agreement. Joint Improvements shall belong jointly to Xxxxxx and Arcadia with enjoyment of full ownership rights subject to the terms and conditions of this Agreement. Arcadia and Xxxxxx shall jointly be responsible for preparing, filing, prosecuting and maintaining any patent applications and patents directed to Joint Improvements (“Joint Patents”), and shall share all costs associated therewith evenly. The Parties shall decide which Party shall take primary responsibility for preparing, filing, prosecuting and maintaining such patent applications and patents. The other Party shall be given ample opportunity to provide input and to review any and all documents prior to their filing with a patent office.
Joint Improvement means an Improvement that is conceived, first made or invented jointly by employees and/or agents of both Celsion and Yakult or their Affiliates.
Joint Improvement means an invention and/or knowhow that is (a) an IMPROVEMENT jointly made by employees of HKU and employees of the LICENSEE, (b) an IMPROVEMENT made solely by employees of the Sponsor using HKU administered funds or facilities; or (c) any other intellectual property otherwise agreed by the LICENSOR and LICENSEE in an agreement or in writing to be a JOINT IMPROVEMENT for purposes of this Agreement.
