Joint Syndication Agents definition

Joint Syndication Agents means, individually or collectively as the context may require, CoBank, Rabobank and BMO, in their respective capacities as joint syndication agents hereunder, and each of their successors and assigns in such capacity.
Joint Syndication Agents means Credit Suisse AG, Cayman Islands branch and RBC Capital Markets, in each case in its capacity as joint syndication agents under the Agreement.
Joint Syndication Agents means (i) prior to the Restatement Effective Date, Credit Suisse AG, Cayman Islands branch and RBC Capital Markets, in each case in its capacity as joint syndication agents under the Original Credit Agreement and (ii) on and after the Restatement Effective Date, PNC Bank, National Association and Xxxxx Fargo Bank, National Association, in each case in its capacity as joint syndication agents under the Agreement.

Examples of Joint Syndication Agents in a sentence

  • Without limitation of the foregoing, neither the Joint Lead Arrangers, the Joint Syndication Agents, the Co-Documentation Agents nor the Co-Manager in their respective capacities as such shall, by reason of this Agreement or any other Loan Document, have any fiduciary relationship in respect of any Lender, Loan Party or any other Person.

  • The Joint Syndication Agents, the Joint Documentation Agents, the Joint Lead Arrangers and the Joint Bookrunners shall not have any right, power, obligation, liability, responsibility or duty under this Agreement other than those applicable to all Lenders as such.

  • Joint Syndication Agents, without consent of or notice to any party hereto, may assign any and all of its rights or obligations hereunder to any of its Affiliates.

  • As of the Closing Date, neither Xxxxxxx Xxxxx nor Bank of Montreal, in their respective capacities as Joint Syndication Agents or Joint Bookrunners shall have any obligations but shall be entitled to all benefits of this Section 13.

Joint Syndication Agents shall have the meaning assigned to such term in the introductory statement to this Agreement.
Joint Syndication Agents means DEUTSCHE BANK AG NEW YORK BRANCH, SUMITOMO MITSUI BANKING CORPORATION, THE ROYAL BANK OF SCOTLAND plc, and UBS LOAN FINANCE LLC. “knowledge” with reference to any General Partner, the Borrower or any Subsidiary of the Borrower, means the actual knowledge of such Person after reasonable inquiry (which reasonable inquiry shall include, without limitation, interviewing and questioning such other Persons as such General Partner, the Borrower or such Subsidiary of the Borrower, as applicable, deems reasonably necessary).
Joint Syndication Agents has the meaning given to such term in the Preamble. KEXIM has the meaning given to such term in the Preamble.

  • Joint Lead Arrangers and Bookrunners means Credit Suisse Securities (USA) LLC, Citigroup Global Markets, Inc., Deutsche Bank Securities Inc., Xxxxxxx Xxxxx Credit Partners L.P., HSBC Securities (USA) Inc., Xxxxxx Brothers Inc. and Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Managing Agents as defined in the preamble hereto.

  • Bookrunners means Arrangers, in their capacity as joint lead arrangers and joint bookrunners.

  • Arranger means Banc of America Securities LLC, in its capacity as sole lead arranger and sole book manager.

  • Joint Bookrunners means Xxxxxxx Xxxxx Bank USA, Barclays Bank PLC, Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., KKR Capital Markets LLC, Citigroup Global Markets Inc. and UBS Securities LLC.

  • Sole Bookrunner means Pareto Securities AB.

  • Co-Documentation Agent as defined in the preamble hereto.

  • Joint Bookrunner means each of X.X. Xxxxxx Securities LLC, Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated or its Affiliate and Xxxxx Fargo Securities, LLC in their respective capacities as joint bookrunner, and their respective successors in such capacity.

  • Bookrunner or “Agent” of any type shall have no right, power or duty under any Loan Documents other than those applicable to all Lenders, and shall in no event have any fiduciary duty to any Secured Party.

  • Syndication means an extension of credit in which two or more persons fund and each person is at risk only up to a specified percentage of the total extension of credit or up to a specified dollar amount.

  • Co-Agents has the meaning provided in the preamble of this Agreement.

  • Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.

  • Co-Arrangers has the meaning specified in the recital of parties to this Agreement.
