Key Talent. The services of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and ▇▇▇▇▇ ▇▇▇▇ as on-screen hosts of the Program (collectively, the “Key Talent”) are of the essence to this Agreement and in the event of either of their default, death, disability or other unavailability, CPT may, in addition to whatever other rights or remedies it may have, terminate this Agreement, subject to CPT retaining the rights of exploitation set forth in Section 3 with respect to all episodes of the Program theretofore produced. If Infinity seeks to replace any of the Key Talent, CPT shall have approval rights over any such replacement. CPT shall have the right to secure in its own name and at its own expense, or otherwise, life, disability or other insurance to cover the Key Talent and/or other Infinity employees, and said persons shall have no right, title or interest in or to any such insurance. Infinity shall cause such persons to assist in the procuring of such insurance by submitting to usual medical and other examinations and by signing such applications and other documents as may be required by the insurance company for such insurance.

If TCCSL seeks to replace any of the Key Talent, TCCSL shall meaningfully consult with CPT over any such replacement, provided that TCCSL shall retain final say. CPT shall have the right to secure in its own name and at its own expense, or otherwise, life, disability or other insurance to cover the Key Talent and/or other TCCSL employees, and said persons shall have no right, title or interest in or to any such insurance. Key Talent means any person serving in a named position for another CCCCO grant project such as a Regional Consortia chair, Sector Navigator or Deputy Sector Navigator, or the TAP level of leadership, such as those TAPs listed on the Doing What Matters website.
