Payment in full to the Lead Arranger, for its own account, of all fees required to be paid as of such date pursuant to the terms of the Lead Arranger Fee Letter at the times specified therein for payment.
The Administrative Agent shall have received, for the account of each Lender (including each New Lender) that executes this Amendment on or prior to the First Amendment Effective Date the fees to which each is entitled under the Agency Fee Letter, the Lead Arranger Fee Letter, and the Passive Lead Arranger Fee Letter, as is applicable with respect to each Lender.
