Examples of Lessor Indemnitee in a sentence
Lessee shall promptly assume its defense and indemnification obligations upon written notice from any Lessor Indemnitee.
Any Lessor Indemnitee may also participate in the defense of any such claim at its own expense, unless such participation is required because of Lessee’s failure to provide a reasonable and consistent defense of such Lessor Indemnitee’s interests, in which event such additional participation shall be at Lessee’s expense.
Lessee’s obligation to Lessor Indemnitees herein will not be limited by any limitation on the amount or type of damages, benefits or compensation payable by or for Lessee under any workers’ compensation acts, disability benefit acts, or other employee benefit acts on account of claims against any Lessor Indemnitee by an employee of Lessee or anyone employed directly or indirectly by Lessee or its representatives or anyone for whose acts Lessee may be liable.
Lessee, as a material part of the consideration to Lessor, hereby assumes all risk of damage to property of Lessee or injury to persons, in, upon or about the Premises arising from any cause and Lessee hereby waives all claims in respect thereof against any Lessor Indemnitee.
Nothing herein shall be construed as indemnifying any Lessor Indemnitee against its own negligence or misconduct, or any matters resulting from or constituting a breach by Lessor of any representation, warranty or obligation of Lessor herein.
In case any action, suit or proceeding is brought against any Lessor Indemnitee by reason of any occurrence herein described, such Lessor Indemnitee shall provide Lessee with prompt written notice thereof, whereupon Lessee shall and at its own cost and expense, defend such action, suit or proceeding with counsel reasonably satisfactory to Lessor.
The provisions of this Section 12.4 shall not require Lessee to indemnify, defend, protect or hold harmless Lessor or any Lessor Indemnitee to the extent of any Claims arising from the gross negligence or willful misconduct of Lessor or any Lessor Representative.
Lessor shall provide and shall cause each Lessor Indemnitee to provide prompt written notice of any claim for which defense or indemnification is sought, but any delay by Lessor or any Lessor Indemnitee in delivering such notice shall not limit or otherwise affect the rights of Lessor and the Lessor Indemnitees under this Section 10.3. Lessor Indemnities may participate in the defense of any such claim at Lessee's expense.
The foregoing shall not require Lessee to indemnify, defend, protect or hold harmless Lessor or any Lessor Indemnitee to the extent of any claims, damages, losses, liabilities and costs arising from or relating to the gross negligence or willful misconduct of Lessor or Lessor's Representatives, except to the extent that such claims, damages, losses, liabilities and costs are covered by any insurance required to be carried by Lessee pursuant to this Section 10.
In no event shall any CA Lessor Indemnitee be entitled to obtain a deficiency judgment against any member, partner (general or limited), shareholder, director, officer, employee, agent or lender of Lessee or of any Affiliate of Lessee (other than any party named as Lessee or comprising Lessee under this Lease), except for any CA Removal Facility Claims any CA Lessor Indemnitee may have directly against any such Person as a result of such Person’s criminal conduct.
