Library Feature definition

Library Feature means any feature-length audio-visual program made available by Licensor during the Avail Term for which Licensor unilaterally controls without restriction all Necessary Rights and that does not qualify as a Current Feature hereunder due to its failure to meet the criteria set forth in subclause (c) of the definition of “Current Feature”.
Library Feature means (i) a Feature Film which Licensor makes available for license hereunder with an Availability Date that is ten (10) years or more from such film’s initial Theatrical release date in the US, and which shall be designated by agreement between the parties Tier A, Tier B or Tier C, (ii) Library DTVs and (iii) Library MOWs.
Library Feature means any feature-length audio-visual programming made available during the VOD Avail Term for which Licensor unilaterally controls without restriction all Necessary Rights and that does not qualify (or no longer qualifies) as a Current Feature hereunder due to its failure to meet the criteria set forth in subclause (c) of Section 1.1 of the VOD General Terms.

  • The Availability Date for each Included Program shall be as determined by Licensor in its sole discretion and, in any event, in accordance with the below: Library Features Theatrically released Library Feature Films/ Library DTVs/ Library MOWs: -Avail Year 1 – as per Schedule A; -Avail Years 2 and 3 – as determined by Licensor.

  • Notwithstanding anything to the contrary herein, Licensor shall have the right to substitute a new, comparable Library Feature to complete the VOD License Period of any Library Feature that Licensor elects to withdraw, effective at any time after the initial six (6) months of such withdrawn Library Feature’s VOD License Period have elapsed.

  • The VOD License Period for each Library Film shall expire on the earlier of (a) a date determined by Licensor it its sole discretion; provided that such date shall not be earlier than 12 consecutive months following its Availability Date, provided that Licensor may in its sole discretion elect to replace any one or more VOD Library Feature(s) after the first six months of its License Period with a comparable VOD Library Feature; and (b) the termination of this Agreement for any reason.

Library Feature a theatrically released motion picture, direct-to-video title or made-for-television movie/made-for-pay movie/mini-series, (i) the initial US theatrical release date, US home video release date or initial television broadcast of which was, respectively, before 2004, (ii) with an Availability Date during the Term, and (iii) for which Licensor unilaterally controls without restriction all Necessary Rights.

Related to Library Feature

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • Hosted Software means the software owned and controlled by Vendor or Vendor’s third-party contractor that supports the Hosted Software Services.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Toolkit or “Development Toolkit” in the DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the DS Offering by any such Extended Enterprise User(s) (1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and (2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the DS Offering. Extended Enterprise Users are authorized if so specified in the Product Portfolio. Machine means a device on which a DS Offering is executed and which is either (1) (i) (a) belonging to Customer or under its sole control or supervision and (b) located on Customer’s premises or according to Teleworking conditions, or (ii) authorized by Customer according to its own information technology charter or equivalent whereby third party devices (such as Users own devices) are specifically authorized, or (2) operated by a third party service provider as specifically authorized in the Agreement solely for and on behalf of Customer. Remote Access means, if so specified in the Product Portfolio, that Users and/or Extended Enterprise Users may access and use the DS Offering remotely via the Internet from any country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement). Teleworking means any program authorized by and for the benefit of Customer to enable its employees to work outside its own premises, using information and communication technology (or equivalent program established by a Customer entitled to Academic Use of the DS Offerings for its Users). User means any (a) Customer’s employee, or (b) employee of Customer’s consultant(s) or subcontractor(s) (i) who accesses a DS Offering,

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Supported Web Browser means the current release from time to time of Microsoft Edge, Mozilla Firefox, Google Chrome or Apple Safari, or any other web browser that the Provider agrees in writing shall be supported;

  • Source Code for a work means the preferred form of the work for making modifications to it. “Object code” means any non-source form of a work.

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Development Tool Kit means a DS Offering specifically designed for application or content development. A Development Tool Kit is either identified (i) with “CAA” or “ENOVIA Studio” in the DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the DS Offering by any such Extended Enterprise User(s) 1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and 2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the DS Offering.   • Microsoft means Microsoft Corporation.

  • Online tool means an electronic service provided by a custodian that allows the user, in an agreement distinct from the terms-of-service agreement between the custodian and user, to provide directions for disclosure or nondisclosure of digital assets to a third person.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Google means the Google Entity that is party to the Agreement.

  • Open-Source Components means any software component that is subject to any open-source copyright license agreement, including any GNU General Public License or GNU Library or Lesser Public License, or other obligation, restriction or license agreement that substantially conforms to the Open Source Definition as prescribed by the Open Source Initiative or otherwise may require disclosure or licensing to any third party of any source code with which such software component is used or compiled.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Web Site means the website that you are currently using (xxx.xxxxxxxxxxxxxxx.xx.xx) and any sub-domains of this site (e.g. xxxxxxxxx.xxx.xxxxxxxxxxxxxxx.xx.xx) unless expressly excluded by their own terms and conditions.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.
