Avail Term definition

Avail Term shall have the meaning set forth in Section 2.2 of the Principal Terms.
Avail Term shall have the meaning assigned in Section 3 hereof.

Examples of Avail Term in a sentence

  • If more than one Suspension occurs during the Avail Term, or any single Suspension lasts for a period of three months or more, Licensor shall have the right, but not the obligation, to terminate this Agreement (“Security Breach Termination”) by providing written notice of such election to the Licensee.

  • If more than one (1) Suspension occurs during the Avail Term, or any single Suspension lasts for a period of three (3) months or more, Licensor shall have the right, but not the obligation, to terminate this Agreement (“Security Breach Termination”) by providing written notice of such election to the Licensee.

The Initial Avail Term shall then automatically extend for two (2) additional 12-month periods (each, an “Extension Period”) following the expiration of the Initial Avail Term, unless either party gives the other party not less than thirty (30) days written notice prior to expiration of the Initial Avail Term or the first Extension Period, if any, of its election not to extend the Avail Term.
