Licenced Product definition

Licenced Product means any product: (i) which falls within the scope of one or more Valid Claims of any of the Licenced Patents in the relevant country or territory; and/or (ii) developed using or incorporating any part of the Licenced Intellectual Property, including any metabolites, prodrugs, salts, hydrates, solvates, esters, intermediates, polymorphs, isomers, analogues and derivatives, which are developed by or on behalf of the Licencee or its Sub-Licencees.

Licenced Product means any product covered by a VALID CLAIM of the PATENT RIGHTS or made by a method covered by a VALID CLAIM of the PATENT RIGHTS or that is SOLD by LICENCEE. or an AFFILIATE under conditions or circumstances which, if unLicenced, would amount to infringement or contributory infringement or inducement of infringement of the PATENT RIGHTS.

Examples of Licenced Product in a sentence

  • The term of this Agreement shall, on a Licenced Product-by-Licenced Product basis, be the period from the Commencement Date until the end of the Royalty Term as to such Licenced Product and the expiration of all of the payment obligations hereunder (including, for clarity, Milestone Payments) (the “Term”), after which the licence granted in Clause 3 will become fully paid-up and perpetual.

Related to Licenced Product

  • Licensed Product means any method, process, composition, product, service, or component part thereof that would, but for the granting of the rights set forth in this Agreement, infringe a Valid Claim contained in the Licensed Patents.
