Licensed IPR definition

Licensed IPR means the Customer Licensed IPR or the Supplier Licensed IPR (as applicable);
Licensed IPR means any Intellectual Property Rights (other than Patents and Marks) owned or licensed by Coherent as of the Effective Date that are embodied by the Transferred Technology delivered under this Agreement and necessary to the manufacture, use and testing of the Transferred Lasers.
Licensed IPR means the IPR identified in item 4 of the Details Schedule. Material means the material identified in item 9 of the Details Schedule. Moral Rights has the same meaning as in Part IX of the Copyright Act 1968 (Cth), or in similar foreign legislation as applicable.

Examples of Licensed IPR in a sentence

  • For the Term, the Licensor grants the Licensee a Licence to the Licensed IPR in accordance with item 5 of the Details Schedule and this Agreement.

  • This may be relevant as part of the Licensee Commercialising the Licensed IPR (if the Licensor's name will appear on Products).

  • If improvements created by the Licensor are being licensed to the Licensee, the scope of the Licensed IPR should describe this, or be amended (as required) to include these improvements.

  • The Licensor may assign or novate its rights to the Licensed IPR or this Agreement without further consent of the Licensee unless expressly prohibited under this Agreement.

  • Each of these circumstances relates to third party actions that potentially infringe the Licensed IPR, or challenge the Licensor or Licensee's rights to the Licensed IPR.


More Definitions of Licensed IPR

Licensed IPR means those Intellectual Property Rights embodied in, or necessary for the exercise of Licensee’s license under this Agreement of, the Licensed Technology arising under law or equity that as of July 15, 2015 are owned, licensed (with sublicense rights) or otherwise held by or for the Licensor.
Licensed IPR means all Intellectual Property Rights (other than the Assigned IPR) used in or necessary for the operation of the Business.
Licensed IPR has the meaning given in paragraph 21.2 of Part 1 of Schedule 4;
Licensed IPR means the IPR as set out in Schedule 2 (Licensed IPR); Loss or Losses means any loss, expense, claim, penalty expenses or equivalent which is suffered, including Indirect Loss, as may arise as a result of one Party’s actions or inactions in respect of their obligations under this Agreement; Term means the Initial Term and the Extended Term(s) cumulatively;
Licensed IPR means the Battelle IPR and the LanzaTech IPR, each as defined in the License Agreement.
