LICT Companies definition

LICT Companies means LICT and its Subsidiaries (after giving effect to the Distribution).

  • From and after the Time of Distribution, (i) SPINCO shall indemnify LICT and its Representatives with respect to any claims relating to SPINCO Businesses, SPINCO Companies or SPINCO Liabilities, and (ii) LICT shall indemnify SPINCO and its Representatives with respect to any claims relating to LICT Businesses, LICT Companies or LICT Liabilities.

  • Following the Distribution, none of the SPINCO Companies, on the one hand, and none of the LICT Companies, on the other hand, shall have any further rights or Liabilities thereunder, and this Agreement shall be the sole Tax sharing agreements between the SPINCO Companies, on the one hand, and the LICT Companies, on the other hand.

  • Any and all existing Tax sharing agreements or arrangements, written or unwritten, between any of the LICT Companies, on the one hand, and any of the SPINCO Companies, on the other hand, if not previously terminated, shall be terminated as of the Distribution Date without any further action by the parties thereto.

  • LICT, on behalf of itself and all other members of the LICT, hxxxxx confirms and agrees to comply with any and all covenants and agreements in the Tax Materials applicable to LICT or any member of the LICT Companies or the LICT Business.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Company Entities means the Company and the Company Subsidiaries.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Parent Parties means Parent and Merger Sub.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Retained Subsidiaries means all of the direct and indirect Subsidiaries of Seller other than the Purchased Subsidiaries.
