Liquidation Parity Shares definition

Liquidation Parity Shares means Parity Shares the terms of which expressly provide that it will rank pari passu with the Series A Preferred Shares as to rights upon liquidation, dissolution and winding up of the Corporation.
Liquidation Parity Shares means any class or series of the Corporation’s shares (other than the Convertible Preferred Shares) whose terms expressly provide that such class or series will rank equally with the Convertible Preferred Shares with respect to the distribution of assets upon the Corporation’s liquidation, dissolution or winding up. For the avoidance of doubt, Liquidation Parity Shares will not include any securities of the Corporation’s Subsidiaries.
Liquidation Parity Shares means any class or series of the Company’s shares (other than the Convertible Preferred Shares) whose terms expressly provide that such class or series will rank equally with the Convertible Preferred Shares with respect to the distribution of assets upon the Company’s liquidation, dissolution or winding up.   • In any such distribution, the “ liquidation value” of any holder of Series J Preferred Shares or Liquidation Parity Shares of the Company shall mean the amount otherwise payable to such holder in such distribution (assuming no limitation on the assets of the Company available for such distribution), including any declared but unpaid dividends (and any unpaid, accrued cumulative dividends, whether or not declared, in the case of any holder of shares on which dividends accrue on a cumulative basis).

  • If the liquidation value has been paid in full to all holders of Series J Preferred Shares and any holders of Liquidation Parity Shares, the holders of Common Shares and any other class or series of share capital of the Company that ranks junior in the distribution of assets on any liquidation, dissolution or winding up of the Company shall be entitled to receive all remaining assets of the Company according to their respective rights and preferences.

  • Liquidation Preference Amount means $25,000 per share of Series A Preferred Stock.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Liquidation Amount means $1,000 per share of Designated Preferred Stock.

  • Liquidation Principal The principal portion of Liquidation Proceeds received with respect to each Mortgage Loan which became a Liquidated Mortgage Loan (but not in excess of the principal balance thereof) during the Prior Period.
