Accordingly, for U.S. federal income tax purposes, the Litigation Trust Assets shall be treated by all parties as having been distributed (subject to any obligations relating to such assets) by the Debtors to the Litigation Trust Beneficiaries pursuant to the Plan followed by the transfer by the Litigation Trust Beneficiaries to the Litigation Trust of the Litigation Trust Assets in exchange for the beneficial interests in the Litigation Trust.
Upon the transfer of the Litigation Trust Assets, the Litigation Trust shall succeed to all of the right, title, and interest of the Debtors in and to the Litigation Trust Assets, and the Debtors and the Post-Effective Date Debtors shall not have any further interest in or with respect to the Litigation Trust Assets or the Litigation Trust.

The Zinnia COAs (as defined in the Plan Supplement) shall not constitute Litigation Trust Assets, and, to the extent the Final Purchase Price exceeds the amount already paid by Zinnia to the Debtors in accordance with the Zinnia APA, such proceeds constitute Available Cash pursuant to the Plan and shall be distributed pursuant to the Plan to the Holders of Allowed Prepetition Secured Lender Claims.
