Litigation Trust Cash Contribution definition

Litigation Trust Cash Contribution means the not less than $1,500,000 of the Wind-Down Budget to be contributed by the Debtors or the Liquidating Debtors to the Litigation Trust on the Effective Date to fund (i) the investigation and/or prosecution of Avoidance Actions and Causes of Action that vest in the Litigation Trust on the Effective Date and (ii) the administration, reconciliation and resolution of Claims against and Interests in the Debtors; provided that, subject to entry of the CRG-ESH Settlement Order by April 10, 2019, $50,000 of the Litigation Trust Cash Contribution shall be escrowed with the Litigation Trustee to be used solely for the benefit of the Equity Committee designees on the Oversight Committee to investigate and object to any settlement of Claims proposed by the Litigation Trustee.

Notwithstanding the foregoing, the numerator of the Defined Contribution Plan Fraction shall be adjusted pursuant to Treasury Regulations 1.415-7(d)(1) and Questions T-6 and T-7 of Internal Revenue Service Notice 83-10.

  • Upper-Tier Distribution Account A subaccount of the Distribution Account, which shall be an asset of the Trust Fund and the Upper-Tier REMIC.
