Local Conveyances definition

Local Conveyances means the contribution agreements, asset transfer agreements, share transfer agreements, in substantially the form of Exhibits A, B and C, respectively, (modified as required by applicable Law in the relevant jurisdictions), bills of sale, assignment and assumption agreements, real estate transfer documents and other documents among Dow (other than the Xxxxxx Holdcos or the Xxxxxx Subsidiaries), on the one hand, and the Xxxxxx Holdcos and the Xxxxxx Subsidiaries, on the other hand, pursuant to which the Transferred Assets and the Assumed Liabilities will be transferred to or assumed by the Xxxxxx Holdcos and the Xxxxxx Subsidiaries.
Local Conveyances means the sale and purchase agreements, share transfer agreements, bills of sale, deeds, assignment and assumption agreements and other documents between AGSA (or the applicable AGSA Retained Subsidiaries), on the one hand, and AMPSA (or its designated Subsidiary), on the other hand, pursuant to which the applicable AMP Equity Interests will be transferred to, or assumed by, AMPSA or its designated Subsidiary.
Local Conveyances means the asset transfer agreements, share transfer agreements, bills of sale, deeds, assignment and assumption agreements and other documents between a Retained Dow Entity, on the one hand, and one or more Transferred Subsidiaries, on the other hand, pursuant to which (i) Transferred Assets, Transferred JV Interests and Assumed Liabilities will be transferred to, or assumed by, the relevant Transferred Subsidiary; and (ii) Excluded Assets and Excluded Liabilities will be retained, transferred to, or assumed by, the relevant Retained Dow Entity.

  • The parties hereto shall, TDCC and Corning shall cause their respective Subsidiaries and the JV Entity to, and the JV Entity shall cause the JV Subsidiaries to, enter into any required Local Conveyances in order to effect the transactions contemplated by this Section 2.01.

Local Conveyances means asset transfer agreements, in substantially the form of Exhibit A (modified as agreed by the parties to the extent required by applicable Law in the relevant jurisdictions), the Intellectual Property Assignment Agreement in substantially the form of Exhibit B, bills of sale, acts of sale, assignment and assumption agreements and other documents between one or more of the Dow Entities, on the one hand, and one or more of the Purchaser Entities, on the other hand, pursuant to which Transferred Assets and Assumed Liabilities will be transferred to, or assumed by, the relevant Purchaser Entity.
Local Conveyances means the asset transfer agreements, share transfer agreements, bills of sale, and other documents between or among the applicable members of the ATUS Group and the applicable members of the ANV Group pursuant to which Transferred Assets will be transferred to the applicable members of the ATUS Group and the applicable members of the ANV Group in accordance with this Agreement.
