Maintenance and Support Services Fees definition

Maintenance and Support Services Fees means all fees for the performance of Maintenance and Support Services, including all actual Billable Expenses.
Maintenance and Support Services Fees means the charges for the supply of the Maintenance and Support Services as set out in Schedule 1, as those charges may be varied from time to time in accordance with this Agreement;

Examples of Maintenance and Support Services Fees in a sentence

  • DI will provide the Maintenance and Support Services set forth in this Schedule, and any related Exhibits, for the current Major Release and the previous Major Release of a Supported Version of the Software for which Customer has a valid license to Use and for which Customer is current on all Maintenance and Support Services Fees.

  • DI’s performance is dependent on Customer carrying out its obligations as set forth in this Agreement and Customer acknowledges that the Maintenance and Support Services Fees take into account these obligations.

  • Customer must pay the Maintenance and Support Services Fees for the Renewal Term prior to the expiration date of the then-current Maintenance and Support Services term.

  • Maintenance and Support Services Fees for any Extended Term shall be invoiced on the subsequent Contract Year anniversar(y)(ies) at Tyler’s then-current rates, or at such other rates to which the parties may otherwise mutually agree.

  • However, such Software Maintenance and Support Services shall not be provided at the Software Maintenance and Support Services Fees outlined in the Sales Order, but shall be provided at the fees to be agreed upon by the parties if and when the need for such Software Maintenance and Support arises.

  • Licensee understands and agrees that if Licensee discontinues and then resumes the use of Maintenance, Licensee will be required to pay DCS the entire Annual Maintenance and Support Services Fees for the period of discontinuance, plus any Maintenance Services then commencing.

  • Maintenance and Support Services Fees will be invoiced annually in advance of the Contract Year, beginning one (1) year from the Amendment No. 5 Effective Date, and thereafter in advance of the upcoming Contract Year, at the rates set forth in Section 1 of this Exhibit.

  • For all license types other than Term License, Vendor shall invoice Software Maintenance and Support Services Fees in advance annually and send such invoice to Purchaser.

  • The start date and accrual of Maintenance and Support Services Fees for all Software licensed under this Agreement shall be from the date of Delivery of the Software.

  • The start date and accrual of Maintenance and Support Services Fees for all Software licensed under this M&S Agreement shall be from the date of Delivery of the Software.

Related to Maintenance and Support Services Fees

  • Maintenance and Support Services means the services provided by Contractor under Appendix F.

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Maintenance Services means SAP’s then-current maintenance and/or support services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Support Services Policy means Elastic’s support services policy for a Product, as further described at a URL referenced in an applicable Addendum.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Operation and Maintenance Costs means the costs of:

  • Planned Maintenance means any Maintenance BT has planned to do in advance.

  • Maintenance Adder means an adder that may be included to account for variable operation and maintenance expenses in a Market Seller’s Fuel Cost Policy. The Maintenance Adder is calculated in accordance with the applicable provisions of PJM Manual 15, and may only include expenses incurred as a result of electric production.

  • Operation and Maintenance or “O&M” shall mean all activities required to operate, maintain, and monitor the effectiveness of the RA as specified in the SOW or any EPA-approved O&M Plan.

  • Operation and Maintenance Expenses or ‘O&M expenses' means the expenditure incurred on operation and maintenance of the project, or part thereof, and includes the expenditure on manpower, repairs, spares, consumables, insurance and overheads;

  • Deferred Maintenance means improvements necessary for continued operations which do not improve productivity or alter the process technology.
