With respect to each Series of Interests, the General Partner shall receive an annual management fee (the “Management Fee”) equal to the Management Fee Rate (as specified below), payable monthly in arrears, which shall be based on the net asset value of each Capital Account of each Limited Partner as of the end of each calendar month with respect to the relevant Series.
