Management Fee Base definition

Management Fee Base means, for a specified period, the sum of the Cost of Real Estate Investments and the Cost of Loans and other Permitted Investments computed by taking the average of such sums at the end of each month during such specified period.
Management Fee Base means: (a) during the Initial Investment Period, the sum of the Partnership’s Unreduced Regulatory Capital plus Assumed SBA Leverage; and (b) after the Initial Investment Period, the aggregate cost of loans and investments as of the first day of the fiscal quarter in which Management Compensation is paid or begins to accrue (whichever occurs earlier) for all of the Partnership’s “Active Portfolio Companies”. The term “Active Portfolio Companies” shall mean any ongoing concerns in which the Partnership has invested and as to which the Partnership has not written off its investment, subject to SBA review.
