Manager Option definition

Manager Option has the meaning set forth in Section 12.1(c)(i).
Manager Option means an option to acquire Class A Shares pursuant to the Manager MSOP, including those granted by the Manager to a holder of a Corporation Option in connection with the Arrangement.

  • Each Trust Manager Option shall be evidenced by an Award Agreement.

  • Fair market value shall be determined in accordance with the equity plan under which the Manager Option is granted and otherwise in accordance with applicable law and regulation.

  • The number of Units subject to each Outside Manager Option, or the formula pursuant to which such number shall be determined, the date of grant and the vesting, expiration and other terms applicable to such Unit Options shall be specified from time to time by the Board of Managers, subject to the terms of this Plan applicable to Unit Options in general.

  • As a condition to the exercise of the Manager Option, the Board of Managers may, in its sole discretion, impose a condition of continued services for a period of not more than one (1) year following the date of grant.

  • This Guaranty shall remain in full force and effect notwithstanding any release of the Borrower by the Banks from liability given in connection with or pursuant to (i) the Manager Option Agreement, (ii) that certain Agreement to Provide Notice of Non-Liability, dated as of September 15, 1995, among the Bonding Company, the Agent and the Managers, or (iii) the Collateral Intercreditor Agreement.

Related to Manager Option

  • Director Option means an Option granted pursuant to Section 6.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Approved 102 Option means an Option granted pursuant to Section 102(b) of the Ordinance and held in trust by a Trustee for the benefit of the Optionee.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Put Option Event means a Change of Control Event.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Call Option Date As defined in Section 10.01(a) hereof.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Put Right has the meaning set forth in Section 8.05(a).

  • Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.
