Market Price for Shares of Common Stock means the price of one share of Common Stock determined as follows:

Market Price for Shares of Common Stock means the price of one share of Common Stock determined as follows: (a) if the Common Stock is listed on the Exchange, the lowest reported sales price on the date of valuation; or (b) if the Common Stock is listed on a national securities exchange, the lowest reported sales price on the date of valuation; or (c) if neither of clauses (a) nor (b) applies but the Common Stock is quoted in the over-the-counter market on the "pink sheets" or bulletin board, the lesser of (i) the lowest reported sales price or (ii) the last reported "bid" price on the date of valuation, or (d) if none of clauses (i), (ii) or (iii) above applies, the market value as determined by a nationally recognized financial advisor retained by the Company for such purpose, taking into consideration, among other factors, the earnings history, book value and prospects for the Company, and the prices at which shares of Common Stock recently have been traded.

Market Price for Shares of Common Stock. If the Common Stock is listed on the Exchange, the lowest sales price on the date of valuation, excluding any sales made by the Holder or any affiliate of the Holder, as reported in the Wall Street Journal; or

• In such event, the formulae set forth herein for conversion and redemption shall be equitably adjusted to reflect such change in number of shares or, if shares of a new class of stock are issued, to reflect the market price of the class or classes of stock (applying the same factors used in determining the Market Price for Shares of Common Stock) issued in connection with the above described transaction.

• On August 23, 2000, February 23, 2001, August 23, 2001 and February 23, 2002, only if the average of the Market Price for Shares of Common Stock for the ten (10) Trading Days following such respective date (the "Reset Pricing Period") is lower than the current Conversion Price, the Conversion Price shall reset ("Reset") to 100% of such average (subject to further adjustment in each case).

• The Market Price for Shares of Common Stock shall be appropriately adjusted for stock splits, reverse splits, stock dividends and other dilutive events that occur during the Reset Pricing Period.

• As used herein, the Affected Conversion Prices (each an "AFFECTED CONVERSION PRICE") shall refer to: (x) the Conversion Price; and (y) each Market Price for Shares of Common Stock occurring on any Trading Day included in the Pricing Period, which Trading Day occurred before the record date in the case of events referred to in clause (i) of this Section 9(a) and the effective date in the case of the events referred to in clauses (ii) and (iii) of this Section 9(a).

• Failure to comply is a lease violation and UTA may terminate this Lease and right of occupancy and exercise all rights and remedies under the Lease.

• This Debenture is payable on the Maturity Date solely in shares of common stock, $0.01 par value per share, of the Company ("Common Stock"), valued at the Market Price for Shares of Common Stock, as hereinafter defined.

• In such event, the formulae set forth therein for conversion and redemption shall be equitably adjusted to reflect such change in number of shares or, if shares of a new class of stock are issued, to reflect the market price of the class or classes of stock (applying the same factors used in determination the Market Price for Shares of Common Stock) issued in connection with the above-described transaction.

• In such event, the formulae set forth herein for conversion and redemption shall be equitably adjusted to reflect such change in number of shares or, if shares of a class of stock are issued to reflect the market price of the class or classes of stock (applying the same factors used in determining the Market Price for Shares of Common Stock) issued in connection with the above described transaction.

• If the Holder elects to be paid in Common Stock, the Holder shall be entitled to that number of shares of Common Stock as shall equal to the amount of such Delay Payment multiplied by a fraction, the numerator of which is one and the denominator of which is equal to the average of the Fair Market Price for Shares of Common Stock for the three (3) business days prior to, but not including, the date upon which such payments are due.
