Each DSU represents the right of the director or employee to receive, after his or her death, resignation, retirement or other termination, at the option of the Corporation, either (a) a cash payment equal to the Market Value of a Common Share on the date of such termination event, multiplied by the number of DSUs then held, or (b) that number of Common Shares representing the DSUs then held by such director or employee.
The exercise price for Options may not be less than 100 percent of the Market Value of a Common Share on the effective date of the grant of the Option.

Upon any redemption of Phantom Units pursuant to section 2.7(a), the Participant (or the Participant’s legal representative, as the case may be) shall be entitled on the applicable Redemption Date to receive an amount (the ‘‘Redemption Amount’’) equal to the number of Phantom Units to be redeemed on such Redemption Date multiplied by the Fair Market Value of a Common Share on such Redemption Date, net of any applicable deductions and withholdings.
From and after the Grant Date and unless and until the Award is forfeited or otherwise transferred back to the Company, Participant will be credited with additional Stock Units having a value equal to dividends declared by the Company, if any, with record dates that occur prior to the settlement of the Award as if the Common Shares underlying the Award had been issued and outstanding, based on the Fair Market Value of a Common Share on the applicable dividend payment date.
