Material Payor definition

Material Payor means any customer, client or payor of the Company that has accounted for gross revenues to the Company of more than $50,000 during either of the years ended December 31, 2010 or December 31, 2011 and any other customer, client or payor of the Company that the Company reasonably anticipates will account for gross revenues to the Company of more than $50,000 during the current fiscal year.
Material Payor has the meaning set forth in Section 3.8(d).
Material Payor has the meaning specified in Section 5.28.

Examples of Material Payor in a sentence

  • Since January 1, 2020, no Material Payor has (x) notified the Company or any of its Subsidiaries in writing that it intends to discontinue or materially and adversely modify its relationship with the Company or its Subsidiaries or (y) actually discontinued or materially and adversely changed its relation with the Company or its Subsidiaries.

  • For purposes of the foregoing sentence, to determine whether any Payor that is part of a national Payor organization is a Material Payor, the net invoiced amounts for such Payor shall be combined across all Payors within the national Payor organization, and such national Payor organization shall be listed as a Material Payor.

More Definitions of Material Payor

Material Payor has the meaning specified in Section 2.7(a).
Material Payor means the (i) ten (10) largest third party payors (commonly referred to pharmacy benefit managers) of the Sellers, taken as a whole, and (ii) ten (10) largest plan sponsors (commonly referred to as payors), in each case, measured in terms of annual revenues to the Sellers, taken as a whole, for the year ended December 31, 2011.
Material Payor shall have the meaning set forth in Section 5.13(n) hereof.
