Material Vendor definition

Material Vendor has the meaning set forth in Section 3.21.
Material Vendor means each vendor to which the Business paid more than $250,000 in the aggregate in the most recent fiscal year of Seller.
Material Vendor shall have the meaning set forth in Section 2.21.

Examples of Material Vendor in a sentence

  • Except as set forth on Schedule 3.22, since January 1, 2021, no Material Vendor has cancelled, terminated or otherwise materially altered any Contract with any Group Company to which it is a party (including any material change in the rate or amount of sales or in the prices charged, except as required by contract or otherwise in the ordinary course of business), or provided written notice to any Group Company of an intention to do any of the foregoing.

  • Since December 31, 2020, (a) no Material Vendor has canceled or otherwise terminated, or, to the Company’s Knowledge, threatened to cancel, or intends to cancel or terminate, its relationship with the Company, and (b) no Material Vendor has decreased or, to the Company’s Knowledge, threatened to decrease or limit its business with the Company intends to modify its relationship with the Company (except in the Ordinary Course of Business).

  • Neither the Company, nor any of its Subsidiaries has any reason to believe that any Material Vendor will stop, or materially decrease the rate of, or materially change the pricing of, supplying products or services to the Company or its Subsidiaries or otherwise materially change the terms of its relationship with the Company or its Subsidiaries after, or as a result of, the consummation of any Transactions.

  • There are no material unresolved disputes between the Company, Sellers, or any of their respective Affiliates and any Material Vendor.

  • No such Material Vendor within the last twelve (12) months has increased or threatened to increase the prices charged by such distributor or vendor to Seller for the goods or services provided by such vendor to Seller.


More Definitions of Material Vendor

Material Vendor or “Material Vendors” have the meaning specified in Section 4.24(c).
Material Vendor shall have the meaning given to such term in Section 3.15(b).

Material Vendor means each vendor to which the Business paid more than $250,000 in the aggregate in the most recent fiscal year of Seller. “Messaging Agreement” means the agreement between Purchaser and Seller (or any Affiliate or assignee of Seller) to be effective as of theClosing Date pursuant to which Purchaser will provide certain services to Seller’s messaging business, in the form of Exhibit G. “Nasdaq” means The Nasdaq Stock Market’s National Market.
