Maximum Share Amount Deficiency definition

Maximum Share Amount Deficiency shall have the meaning provided in the Purchase Agreement.
Maximum Share Amount Deficiency means that the Purchaser's share of the Maximum Share Amount that has been allocated to it in accordance with Section 6.16(a) constitutes less than the sum of (1) the number of Underlying Shares and Warrant Shares issued or issuable to the Purchaser, assuming conversion or exercise in full of the amounts of the Note, the Warrant and the Redemption Warrant at the time outstanding and held by it and determined without regard to any limitation on conversion or exercise contained in the Transaction Documents, plus (2) the number of Underlying Shares theretofore issued to the Purchaser in lieu of cash payment of interest on the Note.
Maximum Share Amount Deficiency means that the Purchaser's share of the Maximum Share Amount that has been allocated to it in accordance with Section 6.16(a) constitutes less than 110 percent of the sum of (1) the number of Underlying Shares and Warrant Shares issued or issuable to the Purchaser, assuming conversion or exercise in full of the amounts of the Note, the Warrant and the Redemption Warrant at the time outstanding and held by it and determined without regard to any limitation on conversion or exercise contained in the Transaction Documents, plus (2) the number of Underlying Shares theretofore issued to the Purchaser in lieu of cash payment of interest on the Note.
