Measurement and Control Facilities definition

Measurement and Control Facilities means the flow control, regulators, mearsurement equipment and other related facilities necessary to measure natural gas deliveries from Transwestern and control the flow of natural gas off of the Transwestern pipeline, installed and owned by Customer pursuant to the Delivery Point Construction and OperatingDPC&O Agreement between the Parties.
Measurement and Control Facilities means the flow control, regulators, measurement equipment and other related facilities necessary to measure natural gas deliveries from Transwestern and control the flow of natural gas off of the Transwestern pipeline, as more specifically described in Exhibit "A" attached to and made a part of this Agreement, installed on Customer's easement or right-of-way, and owned by Customer pursuant to the DPC&O Agreement between the Parties. "Dekatherm" ("Dth") shall mean the quantity of heat energy equivalent to 1,000,000 British Thermal Units. One dekatherm of gas shall mean the quantity of gas that contains one dekatherm of heat energy.

Examples of Measurement and Control Facilities in a sentence

  • Transwestern and Customer desire to have Transwestern operate and maintain the Measurement and Control Facilities pursuant to this Agreement.

  • Notwithstanding any provision of this Agreement to the contrary, Customer shall bear and be responsible for and shall pay all ad valorem or other property taxes, assessments, and all other impositions of any and every kind which may be levied, assessed, or imposed on the Measurement and Control Facilities.

  • Transwestern shall utilize and shall cause its employees, agents, contractors, subcontractors and related persons to utilize the right-of-way and/or easement for the Measurement and Control Facilities as reasonably prudent operators and in a good and workmanlike manner.

  • Provide emergency response services for incidents at the Measurement and Control Facilities including incident reporting and investigation in accordance with applicable laws and regulations of governmental bodies with jurisdiction over the Measurement and Control Facilities.

  • It shall be a condition precedent of Transwestern's obligation to perform Services under this Agreement that Customer deliver to Transwestern to Transwestern's complete satisfaction all documentation requested by Transwestern as required by applicable federal, state or local governmental laws, rules, regulations or ordinances for the operation of Customer's Measurement and Control Facilities pursuant to this Agreement.

  • Attend as representative of Customer any regulatory agency inspections of the Measurement and Control Facilities relating to the operating and maintenance services performed by Transwestern hereunder.

  • Customer hereby grants to Transwestern non-exclusive rights of ingress and egress to the easement and /or right-of-way for the Measurement and Control Facilities as Transwestern may require to perform its Services under this Agreement.

  • Transwestern shall operate and maintain the Measurement and Control Facilities at its sole expense, provided, however, that for any capital expenditure exceeding $1,000 required to replace, modify or repair the Measurement and Control Facilities in order for Transwestern to operate and maintain the Measurement and Control Facilities in a manner consistent with paragraph 3.1 hereof, then such capital expenditures shall be to the account of Customer.

  • Transwestern, as an independent contractor of Customer, shall operate and maintain the Measurement and Control Facilities by performing the services listed on Exhibit "B" (the "Services").

  • Transwestern shall not be required to seek prior Customer approval for any capital expenditure which, in Transwestern’s sole opinion, is required by Transwestern in case of emergency action related to the Services or the Measurement and Control Facilities in the face of risk of life or the environment, or significant damage to property, or to ensure the operational integrity of critical station equipment.

Related to Measurement and Control Facilities

  • Incremental Facilities has the meaning assigned to such term in Section 2.22(a).

  • Earned value management system means an earned value management system that complies with the earned value management system guidelines in the ANSI/EIA-748.

  • Inventory control system means a system described in Section 4-41a-103.

  • Related facilities means any manager's units and any and all common area spaces that are included within the physical boundaries of the housing development, including, but not limited to, common area space, walkways, balconies, patios, clubhouse space, meeting rooms, laundry facilities, and parking areas that are exclusively available to residential users, except any portions of the overall development that are specifically commercial space.

  • Acceptable earned value management system means an earned value management system that generally complies with system criteria in paragraph (b) of this clause.

  • School facilities project means the planning, acquisition,

  • Pollution control facilities means water and air pollution control equipment and solid waste disposal facilities or any of them.

  • Total Facility has the meaning specified in Section 1.1.

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Infrastructure facility means a building; structure; or networks of buildings, structures, pipes, controls, and equipment, or portion thereof, that provide transportation, utilities, public education, or public safety services. Included are government office buildings; public schools; courthouses; jails; prisons; water treatment plants, distribution systems, and pumping stations; wastewater treatment plants, collection systems, and pumping stations; solid waste disposal plants, incinerators, landfills, and related facilities; public roads and streets; highways; public parking facilities; public transportation systems, terminals, and rolling stock; rail, air, and water port structures, terminals, and equipment.

  • Continuous parameter monitoring system or "CPMS" means all of the equipment necessary to meet the data acquisition and availability requirements of this chapter, to monitor process and control device operational parameters (for example, control device secondary voltages and electric currents) and other information (for example, gas flow rate, oxygen or carbon dioxide concentrations), and to record average operational parameter value on a continuous basis.

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities.

  • Exit Facilities means, collectively, the Exit ABL Facility and the Exit Term Loan Facility.

  • Production Facilities (7 9) means "production equipment" and specially designed software therefor integrated into installations for "development" or for one or more phases of "production".

  • Construction Plant means appliances, machinery with necessary supply to up keep and maintenance of the works or temporary works but dose not include materials or other things intended to form part of the permanent work.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.

  • generation facility means a facility for generating electricity or providing ancillary services, other than ancillary services provided by a transmitter or distributor through the operation of a transmission or distribution system, and includes any structures, equipment or other things used for that purpose;

  • Additional Facilities has the meaning assigned to that term in Section 2.9(a).

  • Attachment Facilities means the facilities necessary to physically connect a Customer Facility to the Transmission System or interconnected distribution facilities.

  • New Facilities means facilities for which, by the cut-off date, neither of the following events has occurred:

  • Senior Facilities means the Credit Agreement and any Additional Senior Debt Facilities.

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Continuous parameter monitoring system (CPMS means all of the equipment necessary to meet the data acquisition and availability requirements of the Prevention of Significant Deterioration program, to monitor process and control device operational parameters (for example, control device secondary voltages and electric currents) and other information (for example, gas flow rate, O2 or CO2 concentrations), and to record average operational parameter value(s) on a continuous basis.

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.

  • Structural pest control means a use requiring a license under Chapter 14 (commencing with Section 8500), Division 3, of the Business and Professions Code.

  • Stand Alone System Upgrade Facilities means System Upgrade Facilities that a Developer may construct without affecting day-to-day operations of the New York State Transmission System during their construction. NYISO, the Connecting Transmission Owner and the Developer must agree as to what constitutes Stand Alone System Upgrade Facilities and identify them in Appendix A to this Agreement.
