  • Subject to certain exceptions set out below, Members who engage in a short term trading transaction in any Milestone Funds will be charged a fee equal to two percent of each amount transferred out of the Milestone Fund pursuant to a short term trade to a maximum of the aggregate amount transferred into the Milestone Fund within the previous 30 day period.

  • Once an Account has been established (on an individual Member or Policy basis as the case may be) further Contributions directed to such Milestone Fund will be credited to the previously established Account.

  • On the Maturity Date or Accelerated Maturity Date, as the case may be, of a Milestone Fund or as soon thereafter as Sun Life deems advisable, Sun Life may sell all non-cash assets of the Milestone Fund, if any, and then process any transac tions contemplated pursuant to sub-section 4(a) or (b) hereof.

  • Sun Life will have the power to delegate any of its powers and obligations with respect to the control, management and administration of each Milestone Fund without requiring the permission of You or any Member but will remain responsible for the performance of that delegate.

  • The assets of each Milestone Fund will be invested in accordance with the investment policy, which may be changed from time to time by Sun Life without any prior notice to You or any Member.

  • The proceeds from any such fee will be paid into, and form part of the assets of, the Milestone Fund.

  • The Net Asset Value of a Milestone Fund is apportioned among Accounts maintained therein by means of Units.

  • It is expressly understood and agreed that Units represent simply a means of measuring Your and/or the Member’s participation in a particular Milestone Fund and that they have no independent existence or other significance whatsoever.

  • Development Milestone Payment shall have the meaning set forth in Section 9.2(a).

  • Best available control technology (BACT means an emissions limitation (including a visible emission standard) based on the maximum degree of reduction for each pollutant subject to regulation under CAA which would be emitted from any proposed major stationary source or major modification which the Department, on a case-by-case basis, takes into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combustion techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 7 DE Admin. Code 1120 and 1121. If the Department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard, or combination thereof, may be prescribed instead to satisfy the requirement for the application of best available control technology. Such standard shall, to the degree possible, set forth the emissions reduction achievable by implementation of such design, equipment, work practice or operation, and shall provide for compliance by means which achieve equivalent results.

  • First Target Distribution means $0.4025 per Unit per Quarter (or, with respect to the period commencing on the Closing Date and ending on September 30, 2005, it means the product of $0.4025 multiplied by a fraction of which the numerator is the number of days in such period, and of which the denominator is 92), subject to adjustment in accordance with Section 6.6 and Section 6.9.
