Minimum Equity Investment definition

Minimum Equity Investment shall have the meaning provided in the recitals to this Agreement.
Minimum Equity Investment means the minimum amount of equity investment in the Borrower, so that, as of any date of determination, the difference between (i) the Collateral Principal Amount minus (ii) the Outstanding Principal Amount of the Loans is equal to or greater than the $7,500,000.

Examples of Minimum Equity Investment in a sentence

  • Immediately prior to or substantially concurrently with the initial Credit Event hereunder, the Preferred Equity Financing shall have been consummated in all material respects in accordance with the terms of the Purchase Agreement and in an amount no less than the Minimum Equity Investment.

  • The Project budget as approved from time to time by Lender pursuant to Section 2.8 of this Agreement, the initial form of which is attached hereto as Exhibit “C” to this Agreement, showing all sources of funds to be used (including Borrower’s Minimum Equity Investment), and all costs and expenses to be incurred, in connection with the Project during the term of the Loan.

More Definitions of Minimum Equity Investment

Minimum Equity Investment means the aggregate investment (made on or prior to the Closing Date) in cash or in kind (including by way of the contribution of equity interests in any member of the Target Group) in the form of Equity Contributions by the Investors and Topco (or any of their Holding Companies) (directly or indirectly) to the Company, including by way of contribution of the proceeds of any Holdco Financing (including on a cash or cashless basis).

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Minimum Investment means an investment in the project of at least two and one‑half million dollars within the investment period. If a county has an average annual unemployment rate of at least twice the state average during the last twenty‑four month period based on data available on the most recent November first, the minimum investment is one million dollars. The department shall designate these reduced investment counties by December thirty‑first of each year using data from the South Carolina Department of Employment and Workforce and the United States Department of Commerce. The designations are effective for a sponsor whose fee agreement is signed in the calendar year following the county designation. For all purposes of this chapter, the minimum investment may include amounts expended by a sponsor or sponsor affiliate as a nonresponsible party in a voluntary cleanup contract on the property pursuant to Article 7, Chapter 56, Title 44, the Brownfields Voluntary Cleanup Program, if the Department of Health and Environmental Control certifies completion of the cleanup. If the amounts under the Brownfields Voluntary Cleanup Program equal at least one million dollars, the investment threshold requirement of this chapter is deemed to have been met.

  • Qualified equity investment means any equity investment in, or long-term debt security issued by, a qualified community development entity that:

  • Available Equity Amount means a cumulative amount equal to (without duplication):

  • Minority Investment means any Person (other than a Subsidiary) in which the Borrower or any Restricted Subsidiary owns Capital Stock.

  • Contract Minimum Investment Requirement means, with respect to the Project, investment by the Company and any Sponsor Affiliates of at least $4,000,000 in Economic Development Property subject (non-exempt) to ad valorem taxation (in the absence of this Fee Agreement).

  • Minimum Holding means the minimum number or value of Shares which must be held by Shareholders as specified in the relevant Supplement.

  • Total Investment means the sum of the aggregate Capital Contributions made by a Member.

  • Approved Investment means any type of security, instrument, participation or interest in property, as set forth on Schedule I hereto (which may be amended from time to time by execution of a revised Schedule I, I-A or I-B) in which Cash Collateral may be invested or reinvested by Bank in accordance with Paragraph 2 of Article IV hereof.

  • New Equity means the common equity interests in Reorganized Neiman to be authorized, issued, or reserved on the Effective Date pursuant to the Plan.
