Minimum Tranche definition

Minimum Tranche means, in respect of Committed Loans comprising part of the same Borrowing, or to be converted or continued under Section 2.04, (a) in the case of Base Rate Committed Loans, $5,000,000 or any multiple of $1,000,000 in excess thereof, and (b) in the case of Offshore Rate Committed Loans, the Dollar Equivalent amount of $10,000,000 or any multiple of 1,000,000 units of the Applicable Currency in excess thereof.

Minimum Tranche means, in respect of Loans comprising part of the --------------- same Borrowing, or to be converted or continued under Section 2.4, (a) in ----------- the case of Swing Line Loans, $1,000,000 or any multiple of $1,000,000 in excess thereof, (b) in the case of Base Rate Loans, $5,000,000 or any multiple of $1,000,000 in excess thereof, and (c) in the case of Offshore Rate Loans, the Dollar Equivalent amount of $5,000,000 or any multiple of 1,000,000 units of the Applicable Currency in excess thereof.

Minimum Tranche means (a) in the case of US Dollars, US$5,000,000 or a higher integral multiple of US$1,000,000; and (b) in the case of any Available Currency, an amount equal to US$5,000,000 or a higher integral multiple of 1,000,000 units of such currency.

Examples of Minimum Tranche in a sentence

• On each Payment Date in respect of the Tranche A Advances and the Tranche B Advances, the Borrowers shall pay to Lender, the Minimum Tranche A Payment Amount and the Minimum Tranche B Payment Amount, as applicable, for such Payment Date.

• Continuations and conversions of Tranches shall be made in integral multiples of the Minimum Tranche Multiple.

• No continuation or conversion shall be permitted if such continuation or conversion would cause the aggregate outstanding principal amount of any LIBOR Tranche which would remain outstanding or the aggregate outstanding principal amount of all Prime Rate Tranches which would remain outstanding to be less than the Minimum Tranche Amount.

• Each Revolving Advance shall be in an amount equal to the Minimum Tranche; provided that any Base Rate Advance may be in the amount of the unused Multi-Currency Total Commitment or the unused Dollar Total Commitment, as applicable.

• The definition of "Minimum Tranche" set forth in Section 1.1 is amended by deleting the amount "$2,500,000" where it appears in clause (a) of such definition and substituting the amount "$1,000,000" therefor.

Minimum Tranche means in respect of Revolving Loans comprising the same Revolving Advance or to be converted or continued under Section 2.10, (a) in the case of amounts denominated in Dollars, U.S.$5,000,000 or a higher integral multiple of U.S.$1,000,000, (b) in the case of amounts denominated in Pounds Sterling, £5,000,000 or a higher integral multiple of £1,000,000, (c) in the case of amounts denominated in Yen, ¥2,000,000 or a higher integral multiple of ¥1,000,000, (d) in the case of amounts denominated in Euros, €5,000,000 or a higher integral multiple of €1,000,000 or (e) in the case of amounts denominated in any other Agreed Currency, 5,000,000 units or a higher integral multiple of 1,000,000 units of the applicable Agreed Currency.

Minimum Tranche means, in respect of Loans comprising part of the same Borrowing, or to be converted or continued under Section 2.4 or 2.4A, (a) in the case of ABR Loans, U.S. $1.0 million or a higher integral multiple of U.S. $1.0 million, (b) in the case of Canadian Loans, Cdn. $250,000 or a higher integral multiple of Cdn. $250,000, (c) in the case of LIBOR Rate Loans which are Tranche A-US Term Loans, a minimum Dollar Equivalent amount of U.S. $5.0 million and an integral multiple of U.S. $100,000, (d) in the case of Revolving Loans which are LIBOR Rate Loans (other than Revolving Loans made in Pounds Sterling and CHF), a minimum Dollar Equivalent amount of U.S. $1.0 million and an integral multiple of U.S. $1.0 million, (e) in the case of Revolving Loans made in Pounds Sterling, a minimum of 500,000 Pounds Sterling and an integral multiple of 100,000 Pounds Sterling, (f) in the case of Revolving Loans made in CHF, a minimum of 1,000,000 CHF and an integral multiple of 100,000 CHF, and (g) in the case of Tranche A-CHF Term Loans, a minimum amount of CHF 5.0 million and an integral multiple of CHF 100,000, and (h) in the case of Tranche A-UK Term Loans, a minimum amount of 2.5 million Pounds Sterling and an integral multiple of 100,000 Pounds Sterling. Notwithstanding the foregoing, Loans made on the Second Amendment and Restatement Date need not be in integral multiples as so specified (as long as in the minimum amount specified), nor do any continuation thereof.

Minimum Tranche means in respect of Loans comprising part of the same Borrowing, or to be converted or continued under SECTION 2.4, (a) in the case of Base Rate Loans and Offshore Rate Loans in Dollars, $10,000,000 or any multiple of $1,000,000 in excess thereof, or (as to Revolving Borrowings) the aggregate amount of the then unused Revolving Commitments, and (b) in the case of Offshore Currency Loans, a multiple of 100,000 units of the Applicable Currency in excess of the Dollar Equivalent Amount (calculated by the Agent as of the date of receipt of the relevant Irrevocable Notice of Committed Activity) of $10,000,000 or (as to Revolving Commitments) the aggregate amount of the then unused Revolving Commitments.
